Governance Explanations

Form 990, Part VI, Section A, line 6

The organization has the following classes of Members: 1) Active Membership: Active Membership shall be limited to general contractors whose principal line of work is building construction and who have been engaged in the business of general contracting for two or more years prior to application for membership, and who have established a reputation for skill, integrity, and responsibility. Eligibility rules of the Associated General Contractors of America, Inc., shall govern application for membership in this chapter. 2) Provisional Membership: This is limited to general contractors as defined in the active membership class, but lack the experience required for active membership. These members have all the rights of the Active Membership, but cannot vote, hold office, or use the AGC logo. 3) Emeritus Active Membership: This is limited to general contractors as defined in the active membership class, and have been an active membership for 10 years prior to the application for Emeritus Membership. These members have all the rights of the Active Membership, but cannot vote. 4) Affiliate Membership: This is limited to general contractors as defined in the active membership class who pay current annual dues asssessed by the National AGC to any other AGC Chapter. 5) Associate Membership: This is limited to persons, firms, or corporations engaged in the capacity of subcontractor, or manufacturer, or in the furnishing of material, supplies, insurance, bonds, services, or equipment to general contractors. 6) Emeritus Associate Membership: This is limited to Associate Membership who have been Associate Members for 10 years prior to the application for Emeritus Associate Membership. These members have all the rights of the Associate Membership, but cannot vote or hold office.

Form 990, Part VI, Section A, line 7A

The Nominating Committee solicits nominations from the membership for the six At Large positions, or as many Members as necessary to fill the expiring terms of the Members serving in the six At Large positions and the filling of vacancies due to directors being nominated as officers. The Nominating Committee consists of three Association Members, one of whom shall be from the Board of Directors and two not serving on the Board. At least one member of the Nominating Committee shall be an Active General Contractor Member.

The Bylaws may be altered or amended or repealed by two-thirds (2/3) vote of all Active General Contractor Members present and voting at any Regular or Special Meeting of the members.

Disclosure of a conflict of interest is to be made at least annually when requested by the governing board, and after that at any time throughout the year when an "other interest" arises or becomes known that was not disclosed at the time of, or has significantly changed since, the annual disclosure. The board member with the potential conflict refrains from the discussion or voting on the transaction in which the potential conflict arises. The remaining board members review the conflict of interest.

The independent board of directors reviews the Executive Director compensation annually for reasonableness based on industry data. The review is documented in the board minutes. The organization does not compensate any other officers, and does not have key employees.

To ensure that the Oklahoma construction industry continues to prosper, an investment must be made in our young leaders. CLC members will work together to improve the construction industry within their chosen fields.CLC members will strive to keep the bid market competitive and honest. (Statement continued on Schedule O)Participants will have the opportunity to network and exchange information with others that work in the industry helping to build a rapport among members to facilitate working together on present and future projects. Participants will help guide the direction and content of meetings and activities to ensure maximum benefit of membership. This will stimulate and increase the level of commitment and participation in the construction industry. Valuable and interesting information will be provided about the industry. IRS990ScheduleO/SupplementalInformationDetail/ExplanationTxt0The organization has the following classes of Members: 1) Active Membership: Active Membership shall be limited to general contractors whose principal line of work is building construction and who have been engaged in the business of general contracting for two or more years prior to application for membership, and who have established a reputation for skill, integrity, and responsibility. Eligibility rules of the Associated General Contractors of America, Inc., shall govern application for membership in this chapter. 2) Provisional Membership: This is limited to general contractors as defined in the active membership class, but lack the experience required for active membership. These members have all the rights of the Active Membership, but cannot vote, hold office, or use the AGC logo. 3) Emeritus Active Membership: This is limited to general contractors as defined in the active membership class, and have been an active membership for 10 years prior to the application for Emeritus Membership. These members have all the rights of the Active Membership, but cannot vote. 4) Affiliate Membership: This is limited to general contractors as defined in the active membership class who pay current annual dues asssessed by the National AGC to any other AGC Chapter. 5) Associate Membership: This is limited to persons, firms, or corporations engaged in the capacity of subcontractor, or manufacturer, or in the furnishing of material, supplies, insurance, bonds, services, or equipment to general contractors. 6) Emeritus Associate Membership: This is limited to Associate Membership who have been Associate Members for 10 years prior to the application for Emeritus Associate Membership. These members have all the rights of the Associate Membership, but cannot vote or hold office.

The Nominating Committee consists of three Association Members, one of whom shall be from the Board of Directors and two not serving on the Board. At least one member of the Nominating Committee shall be an Active General Contractor Member.
