Governance Explanations

Form 990, Part VI, Line 1A: Explanation of Delegated Broad Authority to Committee

The board of commissioners, at its discretion, may designate one (1) or more committes, to serve at the pleasure of the board of commissioners, each of which shall be composed of one (1) or more board members (not to exceed two (2) board members), committee members designated by the board, and may also include non-voting advisory members as needed. Any committe that reviews issues affecting the discharge of medical staff responsibilities must include medical staff members, and if such medical staff members are not also board members, then they shall serve on such committe in a non-voting advisory capacity. Any committes shall be standing and special. Standing committes shall be: finance committe, building/ grounds committe; human resources committe; the joint conference committe; and quality council committe. All other committes shall be special committes. The board of commissioners may delegate to any board of commissioners committe any board of commissioners power or authority as set forth herin except for the power or authority pertaining to the amendment of these by-laws.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Each commissioner shall complete and sign annually the conflict of interest questionnaire and statement, disclosing to the board any conflict of interest the commissioner may have in any contract or transaction the before the board, or any conflict of interst that may be created by a contract, transaction or relationship that the commissioner is contemplating entering.in addition, the organization obtains the policy of conflict of interest. Employees are cautioned against maintaining any outside business or financial interest or engaging in any outside business or financial activity which conflicts with the interests of the hospital or which interferes with his or her ability to discharge his or her duties fully. An employee's position must never be used to promote or advance personal gain directly or indirectly.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

Lafourche parish hospital service district no. 1 dba lady of the sea hospital through its board of commissioners and ceo enter into an employment agreement which is effective on august 26, 2013 and shall continue for a period of five (5) years from the start date. Beginning on the start date, the organization shall pay employee an annual gross salary, to be paid bi-weekly. Payments shall be subject to deductions for all taxes and withholdings required by applicable law. The organization shall increase employee's base salary five (5) % annually beginning september 1, 2014.
