Governance Explanations

Form 990, Part VI, Section B, Line 11B

A draft of the from 990 is sent to the board of directors via email. Form 990 is reviewed and any questions that arise from board members are answered and/or cleared prior to the filing of the return.

Form 990, Part VI, Section B, Line 12C

Each employee and board member is required to disclose any conflict of interest. Each member of the governing body is required to complete an annual questionnaire regarding interests that could give rise to conflicts of interest. The president is responsible for reviewing the questionnaire and taking appropriate actions.

Form 990, Part VI, Section B, Line 15

The foundation used comparative data provided by a consulting firm to determine the top management official's salary. The process was documented in the organization's minutes. For the officers and key employees' salaries, the organization used compensation survey data from the council on foundations and southeastern council on foundations.

Form 990, Part VI, Section C, Line 19

The foundation's governing documents, conflict of interest policy, form 990 and financial statements are available upon request. Also, the audit report and form 990 are available on the organization's website.

Form 990, Part IX, Line 11G

Contractual services: program service expenses 278,069. Management and general expenses 176,899. Fundraising expenses 0. Total expenses 454,968.

Part XII Line 2C - Process of Committee Oversight of the Fin Stmt Audit

The auditor meets with the board of directors making a full presentation at the completion of the audit for the year answering any of the board's questions. The auditor works closely with the board of directors during the year should any concerns arise.

Form 990, Page 12, Part XI, Line 8 - Prior Period Adjustment

Prior period adjustments: during 2024, it was determined that revenue was not properly recognized during 2022 and 2023, resulting in an overstatement of assets and an overstatement of liabilities previously reported to net assets. In 2022, prepaid expenses were overstated by $57,225 and refundable advances were overstated by $2,413,449. The prior period financial statements have been restated to reflect the corrected amounts. In 2023, prepaid expenses were overstated by $72,500 and refundable advances were overstated by $2,550,724. The grants and contributions revenue line was adjusted to $226,297 without donor restrictions, and $1,475,000 with donor restrictions. Grant expenses increased to $15,275. The adjustments were properly corrected in each financial statement presenting prior year amounts.
