Evergreen Presbyterian Ministries Inc has a covenant relationship with the Synod of the Sun, Presbyterian Church,(USA). The Synod of the Sun appoints a liaison (non-voting member) to Evergreen's Board of Directors.

Form 990, Part VI, Section B, Line 11B

The 990 is prepared internally by staff and is reviewed by the Executive Vice-President - CFO. The 990 is then reviewed by the CEO and other senior management. Then the final draft of the completed return is provided to each board member via email. The board members are given the opportunity to review the 990 and pose any questions which are answered by the Executive Vice President-CFO before the final filing of the return.

Form 990, Part VI, Section B, Line 12C

Annually, each member of the Board of Directors is required to review and sign the conflict of interest policy. Any potential conflicts of interest are required to be disclosed at that time. The signed policies are retained in the corporate records. Officers and other employees are required by policy to request approval from the CEO if there are any relationships or activities that could give rise to potential conflicts.

Form 990, Part VI, Section B, Line 15

The Board Chair along with the Board Chairs' Team (comprised of lead members of the Board Operations Committee) conducts an evaluation every two years prior to the end of the three year CEO contract. Recommendation for a new contract for the next three years is then brought to the Board Operations Committee for discussion and approval. The proposed new CEO contract which includes a three year fixed compensation package is presented to the full Board of Directors for approval. The three year CEO contract is approved by a vote of the full Board of Directors.
