“Pursuant to article 8 - committees, the board shall elect an executive committee composed of a minimum of all officers of the corporation, and all other committee chairs as deemed advisable, 10 to serve on the executive committee of the board. The executive committee, unless limited in a resolution of the board, shall have, and may exercise all the authority of the board in the management of the business and affairs of the corporation between meetings of the board, provided, however, that the executive committee shall not have the authority of the board as enumerated in article 8 - committee of directors.
