Governance Explanations

The audit committee reviews the form 990 and recommends it to the board for approval at a board meeting. The full board receives a copy of the 990 prior to the meeting and approves the form for filing.

Form 990, Part VI, Section B, Line 12C

Under the policy, interested persons include any director, officer, or member of a committee or an entity affiliated with the union project who has a direct or indirect financial interest in a proposed transaction. After disclosure of a financial interest, the interested person shall not be present while the financial interest is discussed and voted upon. The remaining directors or committee members shall decide if a conflict of interest exists. If a conflict of interest exists, the chair shall appoint a disinterested person or commitee to investigate alternatives to the proposed transaction or arrangement and to determine whether a more advantageous arrangement or transaction can be obtained.
