Line 11b-for 2019, the process of reviewing the form 990 was based on the accountants knowledge and expertise and her completion of the form 990 for 2019. The signing officer reviewed the return prior to signing the return. The board has reviewed it.

Conflict of interest policy compliance Part VI line 12C

Line 12-the organization does have a written conflict of interest policy approved by the full board in 2010. All members signed the policy, part vi, sec b, line 12b-officers were required to disclose any potential or actual conflicts of interest as they occurred.part vi, sec b, line 12c-the organization regularly and consistently monitors the compliance with the conflict of interest policy. Any time a board member or key employee is subject to a conflict of interest in any transaction or interaction with the organization, the board discusses the matter and decides if there is need for action, and votes to approve the interaction or disapprove it and whether to take further action on the matter. This is an ongoing review and not just annually.

THE CITY OF HELENA-WEST HELENA WOULD NOT BE ABLE TO HANDLE SUCH A POSSIBLE EXPLOSION OF INFECTIONS BECAUSE OF LIMITED MEDICAL AND FIRST RESPONDER CAPAILITIES. THEREFORE, THE EVENT WAS CANCELLED FOR 2020, AND FOR THE DURATION OF THIS HEALTH CRISIS.WE DID START TICKET SALES AND SPONSORSHIPS DURING 2021 BEFORE THE FESTIVAL WAS ULTIMATELY POSTPONED. THE TICKET HOLDERS AND SPONSORS HAD THE OPTION TO ROLL THE TICKETS/PACKAGES TO 2022 OR RECEIVE A REFUND. WE REFUNDED THE ONES WHO CHOSE THAT OPTION. FESTIVAL DEPOSITS AND SOME ITEMS WERE ORDERED IN PREPARATION FOR THE EVENT BEFORE IT WAS CANCELLED. MERCHANDISE WAS SOLD OVER THE PHONE, SOCIAL MEDIA AND SHIPPED TO THE BUYERS.
