Olivetan benedictine sisters, inc. Is the sole member of st. Bernards development foundation. Olivetan benedictine sisters, inc. Appoints the members of the board. Olivetan benedictine sisters, inc. Must approve any aggregate borrowing of funds in excess of $500,000, any purchase/sale/lease/disposition/exchange/gift/pledge/mortgage of any substantial part of the assets of the corporation, any variance with congregational policy/philosophy/ethics of the member, any amendment/alteration/repeal of the bylaws, merger/consolidation/dissolution of the corporation, and such other matters as may be required by law to be submitted to the governing board or as to which the governing board determines by resolution that such submission is advisable. The compensation committee presents the information to the board for approval. Mariyln hummelstein, president, conducts annual reviews of the employees and compensation is based accordingly.
