“The Executive Committee consists of the Chair, Vice Chair, President, the Chair of CARTI Foundation, Inc., one Physician Director appointed by the Chair after consultation with the Physician Advisory Committee, and at least two Directors appointed by the Chair who are independent and are not affiliated with the Corporation or any related entity, in any capacity apart from service as a Director and/or membership on any committee. The Executive Committee has the power to transact the ordinary business affairs of the Corporation during the period between the meetings of the Board of Directors, subject to any prior limitation imposed by the Board of Directors; negotiate the President's contract; evaluate the performance of the President; evaluate and make recommendations with regard to major operational issues affecting the Corporation; review and recommend changes to the Articles of Incorporation and Bylaws; and assure that executive and physician compensation arrangements are reasonable in terms of amount and structure and that reasonableness is thoroughly documented in a manner consistent with the law, along with any other compensation regulation activities which may become necessary and directed by the Board of Directors. The Committee reports to the Board of Directors and presents its recommendations to the Board of Directors for approval.”

Accordingly, each director, principal officer, and member of a committee with board-delegated powers shall annually sign a statement which affirms that such person: (a) has received a copy of the conflict of interest policy; (b) has read and understands the policy; (c) has agreed to comply with the policy; and (d) understands that CARTI is a charitable organization, and in order to maintain its federal tax exemption, it must engage primarily in activities which accomplish one or more of its tax- exempt purposes. Directors who are determined to have a conflict of interest on a matter before the Board of Directors are not present at the meeting, do not participate in discussions, and are not counted for purposes of a quorum.”

“The process for determining compensation for the President/CEO and CFO commences with obtaining market pricing information from an external compensation consultant. The Organizations' Human Resource Department develops a salary action recommendation from the data. The recommendation is provided to the Board of Directors for review and approval. The process and determination is documented in the board minutes and personnel files. The process was last completed in December 2021.”
