Our approach is to provide immediate relief, intermediate care and long-term change. We achieve this three-pronged approach through the following practices: - Provision of basic necessities, including footwear, clothing, food, school supplies, health & hygiene supplies, mosquito nets, sporting equipment and toys. - Support for organizations that educate and enrich the community through dance, drama and team sportsmanship. - Aid in the provision of vocational skills training for women.

The following is a summary of the significant changes to the By-laws. - Confirming that there are no members of the Corporation - Narrowed scope of work of the Corporation to Zambian women and children; no secondary work in Africa - Confirming tax exempt status of the Corporation, no financial gain permitted, activities not in furtherance of charitable purpose prohibited and permitting any and all activities in furtherance of charitable purpose - The Board may accept on behalf of Corporation any contribution, bequest, or devise for advancement of charitable purpose; the Board has exclusive right and discretion to accept and distribute contributions; the Board may not enter into any agreement limiting these rights; the Board may adopt procedures to manage and distribute contributions - Number of directors may be increased or decreased by resolution of a majority of the entire Board; no decrease in number of directors shall shorten term of incumbent directors - Committees of Directors appointed by resolution adopted by majority of entire Board; President, with the consent of the Board, shall appoint three or more directors to special or standing committees; majority of members of a committee constitute a quorum; disqualified members of committee may be replaced by unanimous appointment of another director - Action without meeting permitted by written consent of all members of the Board - Any director may resign from office at any time by delivering written resignation to President, Secretary or Board; no resignation shall discharge any accrued obligation or duty of a director - Any director may be removed for cause at any time by majority vote of the Board constituting a quorum; director subject to removal has right to counsel at director's expense - Directors not entitled to any compensation for services rendered in their capacity as directors; may be reimbursed for reasonable expenses, as approved by majority of entire Board - The Board is empowered to appoint one or more Advisory Committees in its discretion - Executive Director added to list of officers and is responsible for providing executive leadership over the planning and operations of both the Corporation and Flip Flop Foundation Society Zambia; offices of President and Executive Director may not be held by same person; any officer may be removed by the Board with or without cause; any officer may resign at any time by giving written notice to the President, Secretary or the Board - Record keeping duties solely vested in Secretary; President no longer has explicit duty to oversee that books, reports, certificates etc. are properly kept and filed - The Board may authorize any officer or agent of the Corporation to enter into any contract or to execute and deliver any instrument in the name of and on behalf of the Corporation; such authority may be general or confined to specific instances - All checks, drafts or other orders for the payment of money, etc. in excess of $1,000.00 shall require the signature of the President and Treasurer, unless otherwise adopted by resolution of the Board - The Corporation shall, in appropriate cases (including advancement of costs and expenses), indemnify all current and former officers, directors, employees and other persons permitted by law to be indemnified - The Board shall have full power to interpret the By-laws and its decisions in all such questions are final, binding and conclusive; if conflict between the By-laws and the Certificate of Incorporation of the Corporation (the "Charter"), the Charter controls - The Charter and the Bylaws may be amended at any Board meeting (at which a quorum is present) by a v
