Governance Explanations

Form 990, Part VI, Section B, line 11B

The Form 990 is prepared by the organization's external auditor on the basis of its audit, following its completion of the audit and subsequently the review and approval of the audit by the Audit Committee of the organization's governing body. The Form 990 is then reviewed by senior staff in the organization. Following filing, a copy of the Form 990 is circulated to members of the organization's governing body.

Form 990, Part VI, Section B, line 12C

The Climate Action Reserve has scheduled meetings to review policy and procedures and consistently monitors and enforces compliance with the policies during the review process. The Reserve has full Board of Directors meetings, audit committee meetings, nominating committee meetings and Executive Committee meetings. During the reporting period, the Executive Committee gathered four times to review policy and procedures to enforce compliance.

Form 990, Part VI, Section B, line 15A

The Board of Directors makes decisions on compensation for the President using compensation information gathered from, inter alia, the form 990s of peer organizations, employment contracts, and compensation surveys. The process is done in closed session and decisions are forwarded via electronic mail to the President and then to relevant senior staff for review and processing.

Form 990, Part VI, Section C, line 19

Public documents as determined by the Organization are available upon written request. Copies of the Organization's financial statements and forms 990 are also made available by email request through a link on the Organization's website.
