Form 990, Part III, Line 3

ARCH was the sole owner of CHRN, and the enclosed financials reflect the consolidated activities, thru September 30, 2015, when CHRN established itself as a separate corporation. The role of CHRN was to facilitate member participation in the managed care system through the provision of management and claims processing services. In addition, CHRN supports the clinics in quality of care improvement activities and provides financial incentives to reduce unnecessary utilization of services or otherwise reduce patient costs. CHRN was established as a separate corporation on September 28, 2015, and as such is no longer consolidated within these financial statements after September 30, 2015.

ARCH has been determined to be exempt from income taxes under Section 501(c)(3) of the Internal Revenue Code and Section 23701d of the State of California Revenue and Taxation Code by the IRS and Franchise Tax Board, respectively. Accordingly, no provision for income taxes for ARCH is included in the accompanying financial statements. CHRN established itself as a separate organization as of September 28, 2015. As of June 30, 2016, ARCH has reviewed its tax positions and has concluded no reserve for uncertain tax positions is required. The organization's open tax years subject to review are the tax years ending 2013 through 2015.
