“The Organization's Bylaws were amended in June 2024 and were completely overhauled and modernized. Significant changes include: 1. Adjustments to language for clarity and modernization. 2. Members were updated to include Adventist Health and affiliates that own or operate general acute care hospitals. 3. Place and notice of meetings were updated. 4. The number, powers, and the vacancy procedures of the board of directors were revised. 5. Language regarding compensation of the board of directors was removed. 6. Non-board committee language was removed and additional detail about committee chairs, meetings and actions, and the influence and structure of the executive committee was added. 7. The officer election process language was revised, and information for Vice-Chairmen, the Vice-President, Assistant Secretaries, Assistant Treasurers, and Chief Medical Officer was removed. 8. Delegation and the quality of professional services and adjunct organizations information was removed and a section was added for general provisions to include language regarding auditors, amendment of the Bylaws, and electronic transmissions.”

“The principal operations of the System is exempt from taxation pursuant to Internal Revenue Code Section 501(c)(3) and related state provisions. The System recognizes tax benefits from any uncertain tax positions only if it is more-likely-than-not the tax position will be sustained, based solely on its technical merits, with the taxing authority having full knowledge of all relevant information. The System records a liability for unrecognized tax benefits from uncertain tax positions as discrete tax adjustments in the first interim period the more-likely-than-not threshold is not met. The System recognizes deferred tax assets and liabilities for temporary differences between the financial reporting basis and the tax basis of its assets and liabilities along with net operating loss and tax credit carryovers only for tax positions that meet the more-likely-than-not recognition criteria. At December 31, 2024 and 2023, no such assets or liabilities were recorded. The System currently files Form 990 (Informational Return of Organizations Exempt From Income Taxes) and Form 990-T (Exempt Organization Business Income Tax Return) in the U.S. federal jurisdiction and the state of California.
