“During 2015, the Foundation's bylaws were revised to increase the number of voting board members from 19 to 23, and to add state representatives from WateReuse Association as Ex-Officio board members. At the end of 2015, the Foundation's Board of Directors approved a plan of merger with Water Environment Research Foundation. The Foundation plans to file dissolution documents in early May of 2016, and complete the merger by the end of June 2016. As a result of the merger, the combined organization will be under Water Environment Research Foundation. The merger has the opportunity to strengthen the value of water that was historically used only once. To date, both organizations conduct research in a clearly-defined and complementary niche. WateReuse focuses on water reuse and desalination, while the Water Environment Research Foundation focuses on resource recovery and water quality impacts from wastewater and stormwater. Together, the two organzations can grow the movement toward One Water.”

“The Foundation has members (subscribers). The membership categories are Water Utility/Agency, Consulting firm, and Water Industry Supplier/Vendor/Solution provider. All members have the voting rights.”

“Members can elect the members of the governing body.”

“The 990 is prepared by the independent public accounting firm and reviewed by WateReuse Research Foundation's executive management team. After this review, the 990 is then provided to the Executive Committee of the Board, prior to filing it with the IRS.”

“Each Director and Officer is required to review a copy of the Conflict of Interest policy, which requires each person to disclose any relationships, positions or circumstances in which he or she believes could contribute to a conflict.”

“The Compensation Committee for the Association and Foundation reviews the Executive Director's compensation and the Board(s) of Directors approves it.”

“The Foundation makes information available for public inspection upon request.”

“WateReuse Association, a related organization, serves as the common paymaster and files all required federal employment returns. The number of employees reported in Line 2a represents the number of employees for the calendar year ending within the organization's tax year reported on Form W-3 filed by the common paymaster.”

“The Board of Directors assumes responsibility for oversight of the audit of its financial statements and selection of an independent accountant. The process is consistent with previous years.”
