Governance Explanations

Form 990, Part VI, Section A, Line 4

The organization voted to amend the bylaws on january 9, 2024 to include emergency bylaw provisions in accordance with corporations code 5151, that could change the quorum, voting rights, or voting approval requirements or modify lines of succession of the governing body members, solely during a defined emergency.

Form 990, Part VI, Section B, Line 11B

The 990 draft is provided to the director of finance & administration for review and is then presented to the executive director. The executive director reviews, makes inquiries and enhancements to the 990. The 990 is then presented to the treasurer for review. Once the treasurer reviews and approves the 990, it is then reviewed by the board of directors which includes the audit committee. The 990 is then signed by the executive director before it is filed with the irs.

Form 990, Part VI, Section B, Line 12C

The organization's conflict of interest policy is applicable to all directors with powers delegated to it by the board (collectively, "interested person"). In accordance with the policy, annually, each interested person must provide a signed attestation regarding any potential conflicts which is reviewed by the board nominations committee and acted upon by the full board. Additionally, upon disclosing a financial interest or other conflict to the board or board committee by an interested person in a specific meeting, the interested person will leave the meeting and the remaining members of the board or board committee will determine if a conflict actually exists. If a conflict is deemed to exist, the disinterested directors will review and vote upon whether the transaction is in the best interests of the organization and whether it is fair or reasonable.

Form 990, Part VI, Section B, Line 15

Compensation for the executive director is reviewed and approved by the compensation committee, a subset of the board of directors, after comparability data is obtained by a compensation consultant. Grades and salary ranges for all other employees are determined by a compensation consultant with the executive director making the final determination within those parameters. All decisions regarding compensation are documented in writing.

PART X, LINE 2:

The organization is a nonprofit organization as described in section 501(c)(3) of the internal revenue code and is exempt from federal and state income taxes on trade or business profits generated by activities related to the organization's exempt function. The organization may be subject to federal and state income taxes for profits generated from trade or business activities unrelated to the organization's exempt function. As of december 31, 2024, management believes that the organization has not generated any unrelated business taxable income. The organization assesses the recording of uncertain tax positions by evaluating the minimum recognition threshold and measurement requirements a tax position must meet before being recognized as a benefit in the financial statements. The organization's policy is to recognize interest and penalties accrued on any uncertain tax positions as a component of income tax expense, if any, in its statement of activities. The organization has not recognized any liabilities for uncertain tax positions or unrecognized benefits as of december 31, 2024 the organization does not expect any material change in uncertain tax benefits within the next 12 months.
