During 2020, kathy walker (an independent contractor) fulfilled the role of chief financial officer. Compensation paid to kathy walker in 2020 in exchange for these services totaled $25,000.

Form 990, Part VI, Section B, Line 11B

The form 990 is prepared by an independent tax accountant; management of petaluma health center (the surviving organization after the merger effective july 1, 2020) review a draft of the form 990; adjustments are made, as necessary. The form 990 is then distributed to the voting governing body of petaluma health center prior to filing with the internal revenue service.

Form 990, Part VI, Section B, Line 12C

Each board member, officer, and key employee annually signs a statement which affirms such person: (i) has received a copy of the conflict of interest policy; (ii) has read and understands the policy; and (iii) has agreed to comply with the policy. In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with board designated powers considering the proposed transaction or arrangement; un-interested members of the board or committee shall then decide if a conflict of interest exists. In addressing actual conflicts of interests, interested persons may make a presentation at the board or committee meeting, but after presentation, shall leave the meeting during the discussion of, and the vote on, the transaction or arrangement involving the potential conflict of interest.

Form 990, Part VI, Section B, Line 15

The personnel committee collects comparable data (from information compiled from the california primary care association and the national association of community health centers, for example) and does a performance review of the ceo annually. The personnel committee of the board of directors then makes a recommendation to the full board, who votes on the recommendation after review and discussion. Determination of compensation for other officers and key employees is done by a similar methodology. The human resources specialist collects comparable data and works with the ceo, who makes the final determination for compensation for these employees.
