Governance Explanations

Form 990, Part VI, Line 11B: Form 990 Review Process

The Audit Committee shall have the responsibility for reviewing the organization's Form 990 (including all pertinent Schedules) before it is filed with the Internal Revenue Service. In conducting their review of the draft of the Form 990, it is preferred that the Audit Committee shall conduct a top-level or big-picture type of review. However, if the Audit Committee desires or deems it necessary to conduct a more detailed review of the Form 990, then they should contact the preparer of the Form 990 to request copies of the relevant detailed tax return workpapers which they would like to see. Once the Audit Committee has completed its initial review of the Form 990, a meeting or conference call will be scheduled with the preparer of the Form 990 (regardless of whether the Form 990 is externally or internally prepared) to discuss any questions, comments, and suggested revisions identified by the Audit Committee. The preparer of the Form 990 should make any revisions to the Form 990 as soon as feasibly possible to ensure that the Form 990 is filed with the Internal Revenue Service on a timely basis. All of the questions, comments, and suggested revisions set forth by the Audit Committee should be documented, along with any responses from the preparer of the Form 990, if applicable. After the Form 990 has been reviewed by the Audit Committee and filed with the Internal Revenue Service, the Audit Committee will make a presentation at the next full Board of Directors meeting to update the full Board regarding its review of the Form 990. At this meeting with the full Board of Directors, it is not required for the Audit Committee to review all of their questions, comments, and suggested revisions; a summary of their more important points will be sufficient.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

When conflicts arise, the board addresses the conflicts and if necessary votes to take action so that no conflict remains. Employees are protected under the fraud policy in the employee manual and are encouraged to bring conflicts to the board. If a conflict of interest is found to exist, the governing board will discuss and vote on the transaction or arrangement involving the possible conflict of interest. The person with the conflict is required to leave the board meeting during this discussion and vote. After exercising due diligence, the governing board will determine whether the Organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest.

The board reviews comparability studies and deliberates on performance to determine salary of Executive Director.

Financial Statement Notes

Part III, Line 1A: If organization elected under SFAS 116 to not report are, historical treasures, O

The Foundation has a collection of artwork, appraised at approximately $4,000,000, that is on public display. The Foundation has adopted a policy of not capitalizing the collection of artwork in its financial statements. Accordingly, no collection items are recognized as assets, whether they are purchased or received as a donation. Purchases of collection items reduce net assets in the period when purchased. Proceeds from sales or insurance recoveries are recorded as increases in net assets when received. The artwork is not allowed to be sold.

The artwork is on display in the Sacramento Room of the Library.

Part X : FIN48 Footnote

The Foundation, pursuant to a determination letter from the Internal Revenue Service, is exempt from Federal and State income taxes under Section 501(c)(3) of the Internal Revenue code and Section 23701(d) of the California Revenue and Taxation Code. The accounting standard on accounting for uncertainty in income taxes addresses the determination of whether tax benefits claimed or expected to be claimed on a tax return should be recorded in the financial statements. Under that guidance, the Organization may recognize the tax benefit from an uncertain tax position only if it is more likely than not that the tax position will be sustained on examination by taxing authorities based on the technical merits of the position. Examples of tax positions include the tax-exempt status of the Organization and various positions related to the potential sources of unrelated business taxable income (UBIT). The tax benefits recognized in the financial statements from such a position are measured based on the largest benefit that has a greater than 50% likelihood of being realized upon ultimate settlement. There were no unrecognized tax benefits identified or recorded as liabilities at June 30, 2014 and June 30, 2013.

IRS990/Desc0This year the Foundation granted the library $311,307 for programs and materials representing a 39% increase in funding to the Library over last year. Support was given with an emphasis on Summer Reading, enhanced early literacy areas and increased childrens literacy programs. Of the $312,000, $108,000 came from the Books and Materials endowment, and the Sacramento Room Endowment dedicated to digitizing the Librarys archive. In addition, the Foundation also supported the Measure B campaign to approve an augmentation to the parcel tax allocated by the City of Sacramento. These positive results represent our strategic focus on enhancing childrens literacy.
