“Board of directors members should be elected for a one year term and at least they have to comply with the following requirements: 1)any positions of the board of directors could be occupied by the same person, with the exception of the president and secretary that can not be occupied by the same person. 2)the president and vice-president should be at least 33 years old and the vowels 25 years old. 3)all person that accept to be part of the board of directors should attend all meetings appointed and his/her responsibilities are not transferable.”

“The review process of the form 990 is under the responsibility of the board of director's finance committee. Such committee at the same time, delegates this task to the finance director, who perform the review of the 990 form and is authorized to provide the release for the final issuance of the form.”

“It is the reponsibility of the board members to govern the institution and the community interest with honesty, exercising their best care, skill and judgement for the benefit of the institution and its members; and the matter of any duality of interest or possible conflict of interest can best be handled through full disclosure of any such interest, together with abstention in any vote where in the interest is involved. The following policy of duality and conflict of interest is hereby adopted: 1) any board member having a possible conflict of interest on any matter should not vote or use his personal influence on the matter, and he or she should not be counted in determining the quorum for the meeting, even where permitted by law. Also, this is applicable to administrative employees.”
