The organization is an umbrella trade association whose members are limited to trade associations serving the painting and finishing industry, the glazing industry and related industries.

The organization's membership elects directors to serve on the board of directors.

Form 990, Part VI, Section A, Line 7B

All members shall have the right to vote on the election of directors, on the disposition of all or substantially all of the assets of the corporation, on any merger and its principal terms and any amendment of those terms, and on any election to dissolve the corporation.

The form 990 is completed by our cpa firm and then reviewed and discussed in detail by management to ensure that the information is complete and accurate. The form 990 is presented to the board of directors for their review and to answer any questions that may come up during the preparation process.

Form 990, Part VI, Section B, Line 12C

In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board-delegated powers considering the proposed transaction or arrangement. After disclosure of the financial interest and all material facts, and after any discussion with the interested person, he or she shall leave the meeting and the governing board or committee shall meet to decide if a conflict of interest exists. The chair of the governing board or committee shall, if appropriate, appoint a disinterested person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee shall determine whether the organization can obtain with reasonable efforts a more advantageous transaction or arrangement from a person or entity that would not give rise to a conflict of interest. If a more advantageous transaction or arrangement is not reasonably possible under circumstances not producing a conflict of interest, the governing board or committee shall determine by a majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and whether it is fair and reasonable. In conformity with the above determination, it shall make its decision as to whether to enter into the transaction or arrangement. Annually, each director, principal officer, and member of a committee with governing board-delegated powers shall annually sign a statement that affirms such person 1) has received a copy of the conflict-of-interest policy, 2) has read and understands the policy, 3) has agreed to comply with the policy, and 4) understands the organization is charitable and in order to maintain its federal tax exemption it must engage primarily in activities that accomplish one or more of its tax-exempt purposes. To ensure the organization operates in a manner consistent with charitable purposes and does not engage in activities that could jeopardize its tax-exempt status, periodic reviews shall be conducted.

Compensation of the organization's chief executive officer is determined by the chief executive officer and president of the board, and is approved by the board of directors. The chief executive officer provides data from websites to provide comparable ceo and executive director salaries and benefits and shares them with the board president. It is then documented and the ncat board president presents to the rest of the board for approval.
