“The executive committee shall be charged with all duties and responsibilities of the board, and is authorized to act on behalf of the board between its regular or special meetings; provided, however, that (a) the executive committee shall have no authority to (i) fill vacancies on the board or any of its committees or (ii) adopt, amend or repeal these bylaws, and (b) all actions of the executive committee shall be reported to the board at its next meeting.”

Each year, each key employee and director is required to sign a new conflict of interest disclosure statement. In addition, the board minutes reflect the disclosure of any real or perceived conflict. The human resources department monitors this policy on an ongoing basis.”

The consultants are used when major executive contracts are modified or changed. During the interim years the organization obtains the leadingage-cemo leadership compensation survey to monitor compensation trends. The management development & compensation committee (made up of 4 members) documents the findings. The audit committee and the full board review and approve contracts prior to signing. Comparability data from similar exempt organizations are also considered.”
