Governance Explanations

Form 990, Part VI, Line 1A: Explanation of Delegated Broad Authority to Committee

In accordance with common practice in the nonprofit community, the Board delegates certain matters to The Executive Committee, which is empowered to act between board meetings if necessary, and sometimes with specifically delegated authority to act in particular areas on behalf of the full board.

Form 990, Part VI, Line 2: Description of Business or Family Relationship of Officers, Directors, Et

Board members Don Listwin (President) and Hilary Valentine (Director) are related to each other as husband and wife. Board member Don Listwin sits on the Board of directors of fellow board member Michael Ball's company.

Form 990, Part VI, Line 11B: Form 990 Review Process

Form 990 is prepared by an outside tax professional. The form is then reviewed bythe organization's management and a member of the board of directors. This group of individuals then discusses the contents of the return with the outside tax professional. After a full review, the final version of the tax return is provided to all members of the organization's voting body. A representative of management authorizes the final form 990 which is then e-filed with the internal revenue service.

Form 990, Part VI, Line 12C: Explanation of Monitoring and Enforcement of Conflicts

Members of the board of directors review all potential conflicts of interest atleast annually. The executive director and all board members are required to disclose (in writing) potential conflicts and any related party affiliations. Loans between the organization and members of management and the board are strictly prohibited. The organization seeks full transparency on all relationships. Any potential conflicts (in fact or appearance) are discussed openly and resolved in accordance with the organization's policies and procedures.

Form 990, Part VI, Line 15A: Compensation Review & Approval Process - CEO, Top Management

Members of the board of directors review the compensation of all high-level personnel periodically in accordance with irs rules and regulations. Efforts are made to secure compensation data from industry sources in order to determine competitiveness and appropriateness of salaries. Every effort is made to ensure that the process is thorough and transparent in accordance with irs guidelines and the organization's policies and procedures.

Form 990, Part VI, Line 15B: Compensation Review and Approval Process for Officers and Key Employees

Additional Explanations

Form 990, Part III, Line 4D: Other Program Services Description

OTHER PROGRAM SERVICES 4: CANARY OVARIAN CANCER PROGRAM(continued from Form 990 Page 2)biomarker discovery followed by validation, but they also involve different techniques and challenges.CANARY LUNG CANCER PROGRAMCanary is focused on developing diagnostics with high sensitivity and specificity to detect otherwise lethal lung cancers at a stage when they are readily curable. To this end, Canary has assembled a team of experts who are collaborating to discover and validate biomarkers for blood and imaging tests that together will identify individuals harboring lethal lung cancers so that they can be removed. We plan to follow up on our research by rapidly propelling effective early detection cancer tests into the hands of clinical providers so that patients can begin to benefit as soon as possible. The Canary Lung Cancer Program supports the development and maintenance of critical biospecimen resources, blood biomarker discovery and validation, molecular imaging projects for early detection of lethal lung cancer, and epidemiology and modeling for effective lung cancer screening. OTHER PROGRAM SERVICES 5: CANARY PROSTATE CANCER PROGRAMThe specific goals of the Canary Foundation Prostate program are to develop tests that can: 1) Identify lethal prostate cancers at an early (curable) stage; 2) Classify prostate cancers as either 1) potentially lethal; best treated with aggressive therapy b) non-lethal: suitable for continued monitoring without aggressive treatment. Given the large body of published but unvalidated candidate markers for prostate cancer, we are focusing our initial efforts on evaluating the performance of a selected set of promising biomarkers. Candidate biomarkers are evaluated based on their ability to detect lethal prostate cancers at an early (curable) stage and to discriminate lethal from non-lethal prostate cancer. We are focusing on blood-based biomarkers for early detection and considering both blood-based and tissue-based biomarkers for prognostic applications. OTHER PROGRAM SERVICES 6: CANARY PANCREATIC CANCER PROGRAMCanary is focused on developing diagnostics with high sensitivity and specificity to detect otherwise lethal pancreatic cancers at an early stage when they can be cured through surgical section. We anticipate that no single biomarker will be sufficient to create a test with the required sensitivity and specificity to detect pancreatic cancer early. Instead, a definitive diagnosis will rely upon combinations of biomarkers and upon blood and imaging tests used together. To this end, the Canary pancreatic cancer team is collaborating to discover and validate biomarkers that will provide the basis for blood and imaging tests for the early detection of pancreatic cancer. We plan to follow up our research by rapidly propelling effective early detection tests into the hands of clinical providers to that patients can begin to benefit as soon as possible. OTHER PROGRAM SERVICES 7: CANARY COLLABORATIONS PROGRAMCanary Foundation believes that a collaborative, coordinated approach is necessary to achieve our goals. Our multi-disciplinary, multi-institutional Early Detection Program provides a great example of this philosophy in action. We created our Collaboration Program to foster this collaborative approach among the broader community of cancer researchers. We provide scientific program management to make sure that all funded research activities among the scientists and clinicians at the various partner institutions are on track and that any obstacles are rapidly addressed and overcome. The specific collaboration programs that we support include: national and international workshops and symposiums, a postdoctoral training program, an online scientific journal, and joint projects with government and foundations. OTHER PROGRAM SERVICES 8: CANARY CENTER AT STANFORD FOR CANCER EARLY DETECTIONOn September 13, 2008, together with Dr. Bev Mitchell, Director of Stanford's Cancer Institute, and Dr. Sanjiv (Sam)

Financial Statement Notes

Part X : FIN48 Footnote

Income TaxesFinancial statement presentation follows the recommendations of ASC 740, Income Taxes. Under ASC 740, the Fund is required to report information regarding its exposure to various tax positions taken by the Fund and requires a two-step process that separates recognition from measurement. The first step is determining whether a tax position has met the recognition threshold; the second step is measuring a tax position that meets the recognition threshold. Management believes that the Fund has adequately evaluated its current tax positions and has concluded that as of December 31, 2017, the Fund does not have any uncertain tax positions for which a reserve or an accrual for a tax liability would be necessary. The Fund has received notification from the Internal Revenue Service and the State of California that it qualifies for tax-exempt status under Section 501(c)(3) of the Internal Revenue Code and Section 23701d of the California Revenue and Taxation Code. The exemptions are subject to periodic review by the federal and state taxing authorities and management believes that the Fund continues to satisfy all federal and state statutes in order to qualify for continued tax exemption status.

IRS990/Desc0Canary Scientific ProgramsCanary is the worlds only non-profit focused solely on early cancer detection. We have multidisciplinary science teams focused on blood-based biomarkers or biological fingerprints that show the presence or progress of disease. Were pairing those biomarkers with advanced imaging technologies that will help us visualize a cancer type with more sensitivity and specificity. Our clinical programs cover tumors across five cancer types: breast, lung, ovarian, pancreas, and prostate. And to further ensure our success, we funded the Canary Center at Stanford for Cancer Early Detection, a world-class facility that hopes to save lives through early detection.

IRS990/ProgSrvcAccomActy2Grp/Desc0CANARY BREAST CANCER PROGRAMThe Breast Cancer Program is working to improve early detection of potentially lethal breast cancer by identifying biomarkers that complement existing imaging methods and by developing new imaging alternatives. The Breast Cancer Program is focused at Stanford and combines expertise in breast cancer care, in breast imaging, and in studying proteomic and gene expression changes in the body in response to disease. Additional work aims to identify biomarkers that distinguish women with cancer from those with benign conditions (such as a cyst). These biomarkers would potentially reduce the number of unnecessary invasive follow-up tests and enhance the interpretation of mammographic images for early detection of breast cancer. New imaging approaches may provide a more sensitive and more accurate approach for the
IRS990/ProgSrvcAccomActy3Grp/Desc0detection of breast cancers. We are testing several imaging alternatives, including a new PET imaging agent, enhanced ultrasound using targeted microbubbles, and photoacoustic imaging, for their ability to identify breast cancer early and to better distinguish cancer and benign conditions.CANARY OVARIAN CANCER PROGRAMThe goal of our ovarian research program is to develop a strategy to accurately identify ovarian cancers that would otherwise be lethal at a stage when they are readily curable. Our vision is of a two-stage screening strategy, consisting of a simple blood test followed by a molecular imaging test. Development of blood and imaging tests follows a similar roadmap; both include (continued on Schedule O)

IRS990ScheduleA/FactsAndCircumstancesTestTxt0Current Year Facts and Circumstances: As a nonprofit organization, The Canary Fund must be able to demonstrate that it "normally" receives at least 33 1/3% of its support from the general public. In calculating this support test, Form 990 Schedule A reflects a support percentage of almost 30%. The Canary Fund believes that other factors provide sufficient evidence that the organization is a valid publicly supported nonprofit charity. The other test is a facts and circumstances test. Under this test, the organization is treated as publicly supported if it normally receives a substantial part of its support from governmental units, from direct or indirect contributions from the general public, and if it is organized and operated to attract new and additional public or governmental support on a continuous basis [Reg. Section 1.170A-9(e)(3)]. The organization will be treated as normally receiving substantial public support if at least 10 percent of the total support normally received by the organization is governmental or public support [Reg. Section 1.170A-9(e)(3)(i)]. An organization meets the requirement of attracting new and additional public or governmental support if it maintains a continuous and bona fide program for soliciting funds from the general public or it carries on activities designed to attract support from governmental units, churches, educational organizations, or other publicly supported charitable or cultural organizations [Reg. Section 1.170A-9(e)(3)(ii)].The Canary Fund reflects a cumulative public support test of 30%, which is slightly below the 33.3% threshold and which represents a temporary decline below the 33.3% public support test. Management anticipates a calculation in excess of 33.3% for the year ending December 31, 2018.The Canary Fund has an active ongoing campaign to secure funds from a variety of third-party sources. A full time Marketing and Development Associate works with others within the organization to solicit funds from foundations and corporate entities. The Organization also hosts annual fundraisers to attract additional third party funding. The Canary Fund has a diverse Board of Directors, with representatives from a variety of backgrounds providing guidance, support and foresight. The Canary Fund is the world's first non-profit organization dedicated solely to the funding, discovery and development of tests for early cancer detection and the funding provided to cancer research organizations impact cancer patients throughout the country.
