“The Board of Directors are entitled to vote on governance and major issues. The Board of Directors is elected by the Leadership Council, which consists of representatives from the Seated Members in addition to the At-Large Leaders elected by the Representatives-At-Large on behalf of At-Large members.”

“There are two types of memberships, Seated Members and At-Large Members.”

“Seated Members (Advising and Sustaining) - Each member organization in this class is entitled to appoint one representative to hold a seat on the Leadership Council. These shall be known as Seated Leaders (with voting rights to elect the Board of Directors). At-Large Members (Associate and Academic) - Each member organization in this class is entitled to appoint one representative as a liaison to the Leadership Council who may attend Leadership Council meetings, but will not have voting rights. These appointees shall be known as Representatives At-Large.”

“Form 990 will be reviewed by the Executive Director and the Treasurer. A copy of the Form 990 will be distributed to the Board Chair and Board Vice Chair. The remaining Executive Committee, Committee Chairs and Board Members may review the Form 990 upon request.”

“In connection with any actual or possible conflict of interest, an interested person must disclose the existence of the financial interest or other interest and be given the opportunity to disclose all material facts to the directors and members of committees with governing board delegated powers considering the proposed transaction or arrangement. The remaining board or committee members shall decide if a conflict of interest exists. After disclosure of the financial interest or other interest and all material facts, and after any discussion with the interested person, he/she shall leave the governing board or committee meeting while determination of a conflict of interest is discussed and voted upon.”

“Upon request”

“In 2024, the organization undertook a Governance Restructuring Project. The project was unanimously approved on November 11, 2024 resulting in a restructuring of the organizations Board of Directors. This change to the Board is documented in Articles 4, 5, 6 and 7 of the organizations amended By-Laws.”
