Okeechobee main street is organized for the purpose of promoting the historical value, economic development, and social welfare of the downtown area of the city of okeechobee and okeechobee county as a whole.
The main street program is designed to improve all aspects of the downtown or central business district, producing both tangible and intangible benefits. Improving economic management, strengthening public participation, and making downtown a fun place to visit are as critical to main street's future as recruiting new businesses, rehabilitating buildings, and expanding parking. Building on downtown's inherent assets -- rich architecture, personal service, and traditional values and most of all, a sense of place -- the main street approach has rekindled entrepreneurship, downtown cooperation and civic concern. It has earned national recognition as a practical strategy appropriately scaled to a community's local resources and conditions. And because it is a locally driven program, all initiative stems from local issues and concerns. “The board of directors may employ an executive director to provide professional management for main street, and in so doing, shall fix the salary and other considerations of employment.”
“Eligibility any person, association, corporation, partnership or estate having an interest in the purpose of the organization as expressed in article i, section 2 shall be eligible for membership. Election applications shall be in writing, on forms provided for that purpose, and signed by the applicant. Any applicant shall become a member upon payment of the regularly scheduled dues as provided in section 3 of article ii. Dues membership dues shall be at such rate or rates, schedule or formula as may be from time to time prescribed by the board of directors. Termination any member may resign from main street upon written notice to the board of directors.”
“In any proceeding in which voting by members is called for, each member in good standing shall be entitled to cast one (1) vote. At any duly called general meeting of main street, 10% of the members shall constitute a quorum: at board meetings, a majority of directors shall constitute a quorum: at committee meetings, a majority shall constitute a quorum except when a committee consists of more than nine (9) members. In that case, five (5) shall constitute a quorum. The affirmative vote of 51% of the general membership, the board of directors and committee members present and entitled to vote, as provided in article ii, section 5 shall be, unless otherwise stated in these bylaws or provided by law, the act of each respective body.”

“A conflict of interest may exist when the interests or concerns of any director, officer or staff member, or said person's immediate family, or any party, group or organization to which said person has allegiance, may be seen as competing with the interests or concerns of the corporation. The person concerned shall disclose any possible conflict of interest to the board of directors. When any such conflict of interest is relevant to a matter requiring action by the board of directors, the interested person shall call it to the attention of the board of directors and/or its committee, as the case may be, and such person shall not vote on the matter. Moreover, the person having a conflict shall retire from the room in which the board and/or committee is meeting and shall not participate in the final deliberation or decision regarding the matter under consideration. However, that person shall provide the board and/or committee with any and all relevant information. The minutes of the meeting of the board and/or committee shall reflect that the conflict of interest was disclosed and that the interested person was not present during the final discussion or vote and did not vote. When there is a doubt as to whether a conflict of interest exists, the matter shall be resolved by a vote of the board of directors and/or its committee, excluding the person concerning whose situation the doubt has arisen.”
