Governance Explanations

Form 990, Part VI, Section A, Line 1A

The executive committee shall be composed of the president, the superintendent, recording secretary, treasurer and any two elected directors to be selected by a majority vote of the board of directors. The executive committee shall have and exercise the authority designated by the board of directors in the management of the business of the corporation between meetings of the board. Minutes of the executive committee will be distributed to every board member prior to the next regular board meeting. The executive committee may not amend or repeal any resolution of the board of directors, nor enter into any transaction to which the foundation is a party, and in which one or more of the directors has a material financial interest.

Membership categories: (a) mentor member: recognizing the dedication and service of mentors in the tsic program, all mentors in active service, (and mentors who have served) and mentors who have qualified for future duty shall be members of this foundation, without payment of dues. (b) individual member: individuals who support the purpose and objectives of this foundation can join upon payment of annual dues as determined by the board.

It is the policy of mcef that its board members, committee members, and employees have an obligation to conduct business within guidelines that prohibit actual or potential conflicts of interest. It is the policy of mcef that these individuals have an obligation to conduct business within guidelines that prohibit actual or potential conflicts of interest. No presumption of guilt is created by the mere existence of a relationship with outside firms. However, if any such person has any influence on transactions involving purchases, contracts, or leases, it is imperative that he or she discloses to an officer of mcef as soon as possible the existence of any actual or potential conflict of interest so that safeguards can be established to protect all parties. Every member of the board reviews and signs the conflict of interest policy annually.

The foundation is a nonprofit organization that is exempt from federal and state income taxes under section 501(c)(3) and accordingly no provision for income taxes has been made in the accompanying financial statements. The foundation follows the guidance in the income tax standard regarding the recognition of uncertain tax positions. The guidance prescribes recognition threshold principles for the financial statement recognition of tax positions taken or expected to be taken on a tax filing that are not certain to be realized. The foundation is not aware of any activities that would jeopardize its tax exempt status.

TSIC MONROE GRANTS COLLEGE SCHOLARSHIPS UPON HIGH SCHOOL GRADUATION TO QUALIFIED 6TH-12TH GRADE STUDENT-RECIPIENTS OF INCOME ELIGIBLE FAMILIES RESIDING IN THE COUNTY. (CONTINUED ON SCHEDULE O.)TSIC MONROE IS AN AWARD-WINNING MODEL IN THE STATE OF FLORIDA, A CONCERTED ENDEAVOR CONSISTING OF APPROXIMATELY 370 DEDICATED VOLUNTEER MENTORS AND STUDENTS WITH A NETWORK OF INDIVIDUAL DONORS, CORPORATE SPONSORS AND A HARDWORKING STAFF.
