“The membership of the okeechobee county family health/healthy start coalition, inc. Shall be open to all citizens, organizations and agencies (including state, federal and local) interested in achieving the goals and objectives of the coalition. The board of directors shall develop and/or revise membership applications. The agency head of any organization or agency shall appoint a voting member from that organization or agency and attest to this by submitting a notarized application form. Other individuals may become voting members by submitting the membership application attesting that they are self-employed, consumers and otherwise not representing an organization or agency already represented.”

“Quorum of members: a majority of members, at least 30%, represented in person or by the alternate voting member shall constitute a quorum at a meeting of members. A majority of members present at a meeting (at which a quorum is present) is necessary for the adoption of any matter voted on by the voting members, unless a greater proportion is required by law, the articles of incorporation of the corporation, or any provision of the bylaws.”

“The coalition shall develop and approve policies on the rules of order for the conduct of all meetings of the voting membership, executive committee, standing committees and ad-hoc committees. This policy and all procedural matters shall be governed by the latest edition of "robert's rules of order." all meetings held by any entity of the coalition shall follow this policy or the meeting will be considered out of order and any business conducted, voted or acted on will be disregarded by the coalition board of directors or voting membership.”

“In carrying out its provider selection and allocation functions, coalition members shall declare any conflict of interest and must abstain from voting on any issue related to the organization or agency they represent or with which they are employed or affiliated. Employees of the organization may not serve on the board of directors of any agency receiving okeechobee county family health/healthy start coalition funding, and they may not receive payment for any services they render to said agency. It is expected the organization's employees will use their own good judgment and discretion when filling volunteer roles.”
