“The foundation has one class of members which may be individuals or organizations. Members are admitted by the board of directors only. All board members are considered as members of the foundation and are required to pay the membership dues.”

“Of all members only members who make a minimal annual contribution are allowed to vote. Under the organization's bylaws the members meet annually to elect the board of directors which is the governing body. The members and the governing body are substantially identical. Historically, the members vote only to elect the board of directors. All other significant organization decisions, including grants, are made solely by the board of directors.”

“A draft of the tax return was e-mailed in a pdf file to all the board members. Board members reviewed the return and submitted questions, comments and proposed changes to tax preparer. After changes were made another draft was again e-mailed to board members for approval and acceptance.”

“Board members are required to disclose any conflict of interest as it arises. At least annually board members are again asked to disclose any conflicts and are required to document and present to the board the actual conflict. Board members are also asked to sign a statement which affirms that they received a copy of the conflict of interest policy and have read and understood it, and have complied with the policy.”

“At the annual meeting the board of directors reviews and approves any compensation of officers. For the current year, only the executive director was compensated. The final approval included assessing the foundation's current financial outlook and historical factors. The compensating officer does not participate in the final vote approving the compensation.”
