Governance Explanations

Form 990, Part VI, Section A, Line 6

Members of the organization elect the members of the governing body at their annual meeting.

Form 990, Part VI, Section A, Line 7A

A nominating committee nominates candidates to fill vacancies on the board of directors. These candidates are then submitted to the general membership of the organization at their annual meeting. The general membership votes on the candidates to fill the vacant positions. 3 members of the board roll off each year.

Form 990, Part VI, Section B, Line 11B

Form 990, part vi, section a, line 11: a draft of the form 990 is provided to the organization for board review before filing.

Form 990, Part VI, Section B, Line 12C

At the beginning of their term on the board, each board member signs and dates a "board of director's code of ethics and confidentiality policy" which includes a "conflict of interest policy." under this policy, each board member acknowledges that they shall disclose to the board or the appropriate committee any potential conflict of interest transaction prior to the transaction occurring. They shall provide the material facts of the transaction and the individual's relationship or interest in the transaction. Upon such disclosure, the individual will take no further part in the meeting during which the proposal is considered and voted on. The board or committee then determines if the transaction is fair to the organization and must approve the transaction without participation of the individual.

Form 990, Part VI, Section B, Line 15A

Compensation for the executive director was determined and approved by the board of trustees, who utilized comparable data from similarly qualified persons in comparable organizations to derive the appropriate compensation. This process was documented in the board of trustee's meeting minutes.

Form 990, Part VI, Section C, Line 18

The organization makes available its form 990 upon request.

Form 990, Part VI, Section C, Line 19

The organization makes available its governing documents and financial information upon request at the organization's place of business.

Financial Statement Notes

PART III, LINE 1A:

Text of footnote relating to sfas 116 (asc 958) the collections, which were acquired through purchases and contributions since the museum's inception, are not recognized as assets on the statement of financial position. Purchases of collection items are recorded as decreases in unrestricted net assets in the year in which the items are acquired,or as temporarily or permanently restricted net assets if the assets used to purchase the items are restriceted by donors. Contributed collection items are not reflected on the financial statements.

PART III, LINE 4:

The museum's rolling stock and equipment collection contains pieces spanning the time period from as early as 1890 and as late as 2005. The collection contains ordinary pieces such as cabooses and flatcars along with unique pieces such as club cars, passenger cars, a diner, and a rare domed observation car. Along with passenger and freight rosters, the museum maintains and, in some cases, still uses maintenance-of-way cars including cranes, derricks, handcars, and a velocipede. These exhibits function as both a unique means of tourism and recreation and a way to preserve the rich history of alabama and our nation.
