Members have the authority to appoint one director to the board for each member and are entitled to one vote on matters submitted to a vote of the members. 2. Non-member associate organizations do not have voting rights. 3. Non-member affiliates do not have voting rights.”

“Any director having a conflict of interest on any matter shall abstain from voting on the matter, but shall be counted in determining the quorum for the vote on the matter. In addition, he or she shall not use his or her personal influence on the matter, but may briefly state his or her position on the matter and may answer pertinent questions from other directors. If a director is uncertain as to whether he or she has a conflict of interest which requires abstention, or if a director asserts that another director has such a conflict, the board, by a vote of two thirds of those present other than the director having the possible conflict, shall decide whether abstention is required. If so, the director having the possible conflict will abstain. The minutes of the meeting involving a director with a conflict of interest shall reflect that a disclosure was made and that the interested director abstained from voting.”

“The organization utilizes a compensation comittee that evaluates reasonable compensation amounts for comparable organizations. The compensation is reviewed and approved annually by the board.”
