The organization made the following changes to its bylaws: 1. The organization's name was changed to alabama cable and broadband association 2. The manner in which the organization's governing body is established was changed to allow for the govenering body to be appointed and the member voting rights with regard to electing the governing body was removed. See the explanations for line 7.

Form 990, Part VI, Section A, Line 6

Membership in the association shall be open to any person, firm, partnership, limited liability company, corporation or other business entity engaged in the business of providing television reception or service for the public by means of a duly authorized, licensed or franchised cable television system or systems in the state of alabama. The association has two classes of membership, system members and associate members. Each system member is entitled to one vote for every 1,000 subscribers on each matter submitted to a vote. In addition, system members are entitled to appoint either one, two, or five board members based on the number of subscribers for the system member. Associate members are not entitled to vote on any association business.

System members are entitled to appoint either one, two, or five board members based on the number of subscribers for each system member. System members with 15,000 to 50,000 subscribers are entitied to appoint one director. System members with 50,001 to 150,000 subscribers are entitled to appoint two directors. System members with more than 150,000 subscribers are entitled to appoint five directors. The alabama system member with the largest number of subscribers is entitled to appoint an employee of their system as a director. In the event there is no alabama system member, the position will be elected by the system members.

The system members are entitled to one vote per 1,000 subscribers on governance decisions as determined by the board of directors.

Board members and staff are required to sign an affirmation of compliance statement and disclose any potential conflicts of interest annually. The board is tasked with monitoring and enforcing the conflict of interest policy.

The executive director's compensation is reviewed by the association's board of directors which is an independent body. The board compares the compensation with individuals in similarly situated positions and the deliberation and decision are documented in the association's board minutes. There is no other officer or key employee compensation.

The association makes is governing documents and conflict of interest policy available to the public upon request. The association does not maintain financial statements.
