“All members of the association are allowed to vote in the election of the members of the governing body.”

“At each annual meeting, the active members from each of the regions shall elect a regional vice president from their active members. The name of the person elected from each region shall be included in the nominations committee report to the association. Regional vice presidents shall serve a two-year term. The vice president of regions i and ii shall be elected in odd numbered years. Vice presidents of regions iii, iv, and v shall be elected in even numbered years.”

“The form 990 is reviewed by the president and then by the secondary president/ administration chair. A final copy of the form 990 is provided to the full board prior to being filed with the irs.”

“Persons covered by the conflict of interest policy include the association's officers, regional vice presidents, executive director, director of federal relations, and the research director. Persons covered by this policy are required to annually disclose or update any interests on a conflict of interest disclosure form. They must disclose any interests that could give rise to conflicts of interest, such as a list of family members, substantial business or investment holdings, and other transactions or affiliations with businesses, other organizations or those of family members. This information is to be provided to the 2nd vice president. For each interest disclosed to the 2nd vice president, the 2nd vice president will determine whether to take action, assure full disclosure to the executive committee and other individuals covered by the policy or to ask the person to recuse from participation in related discussions or decisions within the association, or ask the person to resign from his or her position in the association.”

“Members of the performance, compensation & benefits committee are appointed by the president for the purpose of conducting an annual review of the duties, performance and salary of the staff. Input on performance and compensation of staff will be solicited from other members of the executive committee. The committee will review compensation information including, but not limited to, compensation comparisons with like positions and demographic data. The committee will make a recommendation to the executive committee on the performance review and any proposed compensation adjustments. The members of the performance review committee wil meet individually with the executive director, director of federal relations, and director of research to review their performance and inform them of any compensation adjustment. The executive director will meet with the administrative assistant to review her performance and inform her of any salary adjustments.”

“The organization's governing documents, conflict of interest policy and financial statements are retained in the organization's office and made available upon request to members of the general public. Persons requesting to view the documents may come to the office or if requested, the information will be mailed.”

“According to the organization's bylaws, only the chairman of the advisory committee can vote. Therefore, the board members with * next to their names on line 1a of part vii are not voting members of the governing body.”
