Governance Explanations

Form 990, Page 6, Part VI, Line 6

The organization is incorporated under the laws of alabama. Membership in the association shall be limited to the following classes of members: 1. Voting members - rural water and/or sewage districts, nonprofit corporations, rural electric cooperatives, other water cooperatives, public authorities, municipalities and all other water and wastewater utilities and boards for rural towns, all of which members must be engaged in the distribution of water or the treatment of waste water for residents of rural areas. 2. Associate members - any person, firm, corporation or organization interested in the purposes and goals of the association and desiring to assist in the work of the association. 3. Society members - any individual who is an employee, director, officer, manager or agent of a rural water or wastewater system or commercial water or wastewater firm and who joins the society of water professionals. All three classes of members are entitled to notice of membership meetings. However, only "voting members" shall be entitled to vote at membership meetings in accordance with the terms of the association's bylaws.

The board of directors of the association shall be elected by the voting members at their annual meeting. The election of directors shall be staggered so that a determined number of directorship positions are subject to election in any one year. At each annual meeting of the membership, the voting delegates of the voting members shall elect the same or a new director to fill the positions of directors whose terms are expiring. In order to elect directors, the state of alabama will be divided into ten districts. One member of the board of directors shall be elected from each district. Any interested candidate meeting the eligible candidate requirements as described in the association's bylaws must submit to the association his/her intent to seek election of the board of director's position for his/her respective district sixty days prior to the election date. Upon notification, the association will provide the potential candidate with a qualifying package which must be completed and returned within thirty days to the association for qualifying approval. At the annual membership meeting, a caucus for each district whose directorship is expiring shall be held for the purpose of receiving nominations of pre- qualified candidates from the voting delegates of voting members in that district. By majority vote of the voting delegates of voting members from each respective district, one nominee will be chosen. The nominee will then be presented at the annual business meeting to the voting delegates of the voting members present for their concurrence. If a quorum is present at the annual business meeting, the nominee for such district receiving the majority of votes from the voting delegates of voting members present and entitled to vote thereon shall become the next director for that district.

AT THE ANNUAL MEMBERSHIP MEETING, A CAUCUS FOR EACH DISTRICT WHOSE DIRECTORSHIP IS EXPIRING SHALL BE HELD FOR THE PURPOSE OF RECEIVING NOMINATIONS OF PRE- QUALIFIED CANDIDATES FROM THE VOTING DELEGATES OF VOTING MEMBERS IN THAT DISTRICT. BY MAJORITY VOTE OF THE VOTING DELEGATES OF VOTING MEMBERS FROM EACH RESPECTIVE DISTRICT, ONE NOMINEE WILL BE CHOSEN. THE NOMINEE WILL THEN BE PRESENTED AT THE ANNUAL BUSINESS MEETING TO THE VOTING DELEGATES OF THE VOTING MEMBERS PRESENT FOR THEIR CONCURRENCE.
