Governance Explanations

Form 990, Page 6, Part VI, Line 6

The organization is incorporated under the laws of alabama. Any person, firm, corporation, partnership, estate, or any other legal entity having an interest in promoting and furthering the objectives of the organization shall be eligible to apply for membership.

Form 990, Page 6, Part VI, Line 7A

The nominating committee shall submit or nominate the names of nine members of the organization in good standing at the october board meeting to be considered for approval for election to the office of director. The board shall have the privilege to accept or modify the list of any or all nominees. The membership shall be informed immediatly of board approved nominees. Other nominations for the office of director may be made within ten days of such notification by petition initiated by a member in good standing and signed by at least twenty-five members in good standing, using a separate petition for each nominee. Such petition shall be given to the president. The maximum number of petition nominees, if any, shall be limited to nine. The nominating committee shall have sole discretion as to which nine presented will appear on the ballot. Such ballot will identify petitioned nominees as such as an addition to the nominees presented to, and approved by the board. If no petition shall be forthcoming by the designated time, the board shall declare the nine board approved committee nominees to be elected.

Persons covered by this policy are required to annually disclose and update on a form provided by the chamber their interests that could give rise to conflicts of interest. For each interest disclosed, the president will determine whether to: (a) take no action; (b) assure full disclosure to the board of directors and other individuals covered by this policy; (c) ask the person to recuse from participation in related discussions or decisions within the chamber; or (d) ask the person to resign from his or her position in the chamber. If the person refuses to resign, they will become subject to possible removal from the chamber. The president will monitor proposed or ongoing transactions for conflicts of interest and will disclose them to the board of directors.

On an annual basis, the executive committee reviews the performance of the president and determines any increase in salary for the following year.

The president presents the proposed detailed annual compensation package to the executive committee each december for review and approval. During the development of the annual compensation package, salaries for individual positions are compared to compensation for similar positions in the area for reasonableness. After the executive committee reviews and approves the detailed annual compensation package, it is included in the proposed annual budget for review and approval by the board of directors.
