Governance Explanations

Form 990, Part VI, Section A, Line 6

The credit union is a non-profit financial institution that is owned and operated by its members. In order to become a member of the credit union, an individual must live, work, attend school or church in any of the following alabama counties: baldwin, bibb, butler, colbert, conecuh, covington, crenshaw, fayette, franklin, greene, hale, jefferson, lauderdale, lawrence, limestone, lowndes, marengo, marion, mobile, monroe, montgomery, morgan, shelby, sumter, tuscaloosa, walker, washington, or wilcox.

Form 990, Part VI, Section A, Line 7A

The members of alabama central credit union elect its board of directors at their annual meetings. Members are informed of the board positions which are up for election by the nominating committee. Members then proceed to vote to fill the open board positions. In order for a director to be elected, a quorum must be present at the meeting.

The following types of decisions are subject to approval by the credit union's members: dissolution of the credit union, conversion from state to federal charter, conversion from federal to private insurance, and amendment of by-laws.

Upon completion of the credit union's 990, board members are given the opportunity to review to ask questions or engage in discussion for any topic covered in the return. The form 990 is then filed with the internal revenue service.

The conflict of interest policy is provided to all employees in our our employee handbook. Employees are provided a copy of the handbook upon hire and required to sign an acknowledgement statement that says they received, have/will read, and will comply with the information contained in the handbook.

Compensation for officers, key employees and top management officials is reviewed on an annual basis. Salary surveys, such as the cuna staff salary report, are used to assist in salary determination, along with individual and overall performance. The board of directors reviews and approves the president/ceo's salary annually. All other salaries are reviewed and approved annually by the president/ceo.

On a yearly basis, the national credit union association and alabama credit union administration examine the financial statements of the credit union. An annual audited financial statement is prepared in accordance with gaap by an independent cpa on a fiscal year end of june 30th.

Financial Statement Notes

PART X, LINE 2:

Effective january 1, 2009, the credit union implemented the new accounting requirements associated with uncertainty in income taxes using the provisions of financial accounting standards board (fasb) asc 740, income taxes. Using that guidance, tax positions initially need to be recognized in the financial statements when it is more-likely-than-not the positions will be sustained upon examination by tax authorities. It also provides guidance for derecognition, classification, interest and penalties, accounting interim periods, disclosure and transition. As of june 30, 2023, the credit union has no uncertain tax positions that qualify for either recognition or disclosure in the financial statements. Additionally, the credit union has no interest or penalties related to income taxes. With few exceptions, the credit union is no longer subject to u.s. Federal income tax examinations by tax authorities for calendar years before 2018.
