Additional Explanations

Form 990 Page 9 Line 11 A

During 2024, the u.s. Army corps of engineers (usace), in coordination with the tennessee department of environment and conservation (tdec), issued a formal notice terminating the in-lieu fee (ilf) instrument governing the tennessee stream mitigation program, llc (tsmp), a wholly owned subsidiary of the foundation. The termination and associated responsibilities were outlined in a memorandum of agreement (moa) signed in august 2024 between usace, tdec, tsmp, and the foundation. As a result, tsmp is in the process of being discontinued and dissolved. Under the terms of the moa: tsmp will complete two remaining compensatory mitigation projects: the ray farms stream restoration project and the stitches stream mitigation project. Tsmp retained $4,393,010 to complete these projects, while transferring $38,462,698 of remaining program assets to the national fish and wildlife foundation (nfwf). Tsmp is expected to sell one remaining parcel of real property and transfer the proceeds, not less than $1,900,000 to nfwf. Upon completion of all projects, liquidation of remaining assets, and submission of a final accounting, tsmp will be irrevocably dissolved, and twrf and tsmp will be released from any remaining compensatory mitigation liabilities under the ilf instrument and related regulations. The results of tsmp's operations have been reported separately as a discontinued operation in the consolidated statement of activities for the year ended december 31, 2024.

We are exempt from income taxes under section 501(c)(3) of the internal revenue code and qualify for charitable deduction. We are not classified as a private organization. In accounting for uncertain income taxes, we recognized a tax position as a benefit only if it is more likely than not the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax benefit greater than 50 percent likely of being realized on examination. For tax positions not meeting the more likely than not test, no tax benefit is recorded. At december 31, 2024, we have no uncertain tax positions. We recognized interest and penalties related to unrecognized tax benefits in interest and income tax expense, respectively. We have no amounts accrued for interest or penalties as of december 31, 2024. We are no longer subject to examination by u.s federal and state taxing authorities for fiscal years ending before 2021.
