“The members of the organization are all publicly traded major vehicle lessors and are listed on the acvl website as "members". There are two divisions of members: 1) automobile manufacturers and their affiliates and 2) financial institutions, independent lessors and all others meeting the qualifications for membership. Any person, firm or corporation eligible for membership under the bylaws may be elected to membership on written application. For such election, approval by majority of votes on the board of directors is required.”

“Under the organization's bylaws, each of the two divisions of members elect one representative from members of its division to the board of directors by secret ballot at the annual meeting. The remaining three board members are committee chairs elected by the committee members. Board of directors members hold office for a term of two years or until the qualification of their successors, whichever is later. The board of directors members are eligible to serve no more than two consecutive terms.”

“The board of directors shall not speak, publish documents or otherwise take public positions on behalf of the association without the consent of a majority of the board of directors and concurrence of 3/4 of the members in attendance at any members meeting or who respond to a request for approval mailed or faxed by the board of directors to all members. Any member who has not expressed a written objection within the specified time after receipt of the notice or proposed action shall be deemed to consent to it. But in no event shall such time be less than three business days (72 hours excluding holidays and weekend days), except as permitted in section 4 paragraph b of the bylaws.”
