Mission

The mission of this organization is to identify, preserve and protect the ecologocally-rich, historically-significant and incredibly beautiful places in tennessee in order to protect wildlife, improve water and air quality, provide close-to-home recreation opportunities and create sustainable communities and regions.

The organization's primary mission is to protect tennessee's natural treasures by creating green corridors linking existing public lands using conservation easements and outright purchase.

In december 2016, the board of directors approved a comprehensive re- write of the bylaws. Significant changes and/or additions included: defining board composition and establishing a maximum number of board positions, establishing board member term limits, redefining and expanding the powers and duties of officers and the executive director, establishing six (6) standing committees and defining the composition and responsibilities of each committee, and adding a section regarding fiscal policies.

Tenngreen reviews national trends from the land trust alliance salary survey and attempts to compete with the median salary for particular jobs in organizations with similar budget sizes. Schedule D, Page 1, Part II, Line 5

The tennessee parks and greenways foundation monitors conservation easement properties at least one time per year to ensure compliance with the terms of the agreement. The landowner or designated representative is contacted in advance of the site visit, and the foundation prefers that the owner or representative be present if possible during the site visit. The monitor, which may be a member of the foundation staff, trained volunteer(s), or both, completes a form on which we request a signature acknowledging that the site visit has taken place, and initials indicating that the rights and restrictions were reviewed. The foundation communicates with the landowner following the site visit to report findings. During the time between site visits to monitor the land, owners are encouraged to contact the foundation with any questions that may arise concerning the rights and restrictions of the easement; to make the foundation aware of concerns landowners have about activities planned on the property, and to notify the foundation of any activity regulated by the terms of the easement. Should the easement property or any portion of it change ownership, the foundation should be notified promptly.

Schedule D, Page 1, Part II, Line 9

The foundation receives donations of conservation easements. A qualified conservation easement is a restriction (that is granted in perpetuity) on the use of land granted to a charity exclusively for conservation purposes. The foundation has not capitalized these conservation easements as they have determined they meet the definition of a collection in accordance with generally accepted accounting principles. Approximately 8,169.09 acres are currently protected with an appraised value at the date of donation of 35,234,508. The foundation has elected to not recognize conservation easements acquired through contributions.

Schedule D, Page 2, Part V, Line 4

The foundations board of directors adopted an endowment goal of 10,000 per easement property at inception of the program in 1999. This goal is evaluated with the acceptance of each easement on a case-by-case basis but not below a minimum of 5,000 per easement project. If endowment funds are not secured at or by the completion of the transaction, the foundation has a plan to secure these funds and has a policy committing the funds to this purpose. The foundations conservation easements provide guidance for arbitration and violation enforcement. However, should legal enforcement be required, the full board of directors will approve the process and budget. Restricted accounts are established for each easement and reflected on the monthly balance sheet and reported to the board. Note: contribution to an endowment fund is not required. The land gift is the real gift to conservation and stewardship funding is sought from general membership or bequests.

The foundation is a tax-exempt organization under section 501c(3) of the internal revenue code and is classified as an organization that is not a private foundation as defined in section 509(a) of the internal revenue code. Therefore, no provision for federal income taxes is included in the accompanying financial statements. The foundation does not believe there are any uncertain tax positions. Further, the foundation does not believe they have any unrelated business income, which would be subject to federal taxes. The foundation is not subject to examination by u.s. Federal or state taxing authorities for years before 2013.
