“Class i (technology company member). Class i members shall be companies or identified subdivisions of companies primarily engaged in the research, development, manufacture or rendering of advanced technological products or services. Class ii (associate member). Class ii members shall be companies or identified subdivisions of companies that provide services to the technology business community, including but not limited to legal, financial, training and consulting assistance. Class iii (non-profit affiliate member). Class iii members shall be non- profit organizations. Class iv (government affiliate member). Class iv members shall be federal, state and local government agencies and subdivisions. Class v (student member). Class v members shall be current apprentices, undergraduates, or graduate students at a community college, college, or university. Class v members shall not be entitled to vote on any matter.”

“The members shall elect a board of directors at the annual meeting.”

“Nvtc and a financial outsourcing company, review the form 990 prepared by the organization's public accounting firm. Any questions between the public accounting firm and nvtc are addressed and resolved. The ceo and finance director then review the return with the nvtc treasurer. Then the return is shared with the finance and audit committee for review, prior to its signing by the president and ceo. A copy is then made available to the board of directors. Subsequently, the treasuer and president and ceo approve the return for filing.”

“All possible conflicts are brought to the attention of the executive committee or the board of directors to investigate the situation and determine how the council should proceed. The conflict of interest policy lists the purpose, definitions of conflict, procedures and actions if violations exist. The policy is self-governed by the individual and the conflict of interest acknowledgement is signed and dated by the active board member. As members rotate on and off the board, new policy copies are issued to the new members and kept on file. A member of the executive office distributes the policy form for the new member to sign off on. They are kept on file.”

“Independent persons and comparability data are utilized when setting compensation. The current ceo was hired on september 9, 2020, with an employment contract. The contract and performance evaluation is periodically reviewed and renegotiated with the chairman of the board and executive committee. The most recent, chairman-aproved ceo review was given in the fall of 2024. The ceo employment contract was renegotiated and signed in january 2025.”

“The nvtc hr & compensation committee obtains a full evaluation of the market value for all nvtc employee positions and industry comparisons. Additionally, job posting and salary requirements are established using local leading industry resources for association professionals. The comparison survey of nvtc positions and salary recommendations are then provided to the committee for review. On an ongoing basis, a comprehensive review will be conducted internally with the ceo, determining compensation levels using the above mentioned current industry salary resource standards and comparable data annually during the budgetary process. The c-level compensation recommendations are either approved or adjusted by the president and ceo, the nvtc hr & compensation committee, and nvtc executive committee.”

“The council will provide governing documents, conflict of interest policy, and financial statements to the public upon request.”
