Governance Explanations

Form 990, Part VI, Section A, Line 4

By-laws changes consisted of the following: 1. The executive committee can vote on time-sensitive matters in lieu of board quorum. The executive committee shall consist of standing officers and immediate past president. 2. A quorum consists of those present at the meetings. As needed, electronic voting is acceptable. 3. Terms for board members will be 3 years with an option to be re-elected by board to a second 3-year term. The executive committee may choose to ask a board member to serve more than two terms if he or she agrees. 4. Past board members may be appointed to an advisory committee as appointed by the board. 5. Board meetings shall be held no less than six times per calendar year. 6. Officers will be elected every three years. 7. Founding and honorary board members are exempt from term limits. 8. Advisory board may consist of former board members, community leaders and other interested persons who serve either one or two terms and as appointed by the board. Advisory board will have no voting rights. 9. A nominating committee will be appointed by the executive committee (officers) and will present a slate of officers. The nominating committee will be led by either the current president or by immediate past president. Board will vote on slate of officers at the december meeting. 10. Board votes on slate of board nominations as needed.

THE EXECUTIVE COMMITTEE SHALL CONSIST OF STANDING OFFICERS AND IMMEDIATE PAST PRESIDENT. 2. A QUORUM CONSISTS OF THOSE PRESENT AT THE MEETINGS. AS NEEDED, ELECTRONIC VOTING IS ACCEPTABLE. 3. TERMS FOR BOARD MEMBERS WILL BE 3 YEARS WITH AN OPTION TO BE RE-ELECTED BY BOARD TO A SECOND 3-YEAR TERM. THE EXECUTIVE COMMITTEE MAY CHOOSE TO ASK A BOARD MEMBER TO SERVE MORE THAN TWO TERMS IF HE OR SHE AGREES. 4. PAST BOARD MEMBERS MAY BE APPOINTED TO AN ADVISORY COMMITTEE AS APPOINTED BY THE BOARD. 5. BOARD MEETINGS SHALL BE HELD NO LESS THAN SIX TIMES PER CALENDAR YEAR. 6. OFFICERS WILL BE ELECTED EVERY THREE YEARS. 7. FOUNDING AND HONORARY BOARD MEMBERS ARE EXEMPT FROM TERM LIMITS. 8. ADVISORY BOARD MAY CONSIST OF FORMER BOARD MEMBERS, COMMUNITY LEADERS AND OTHER INTERESTED PERSONS WHO SERVE EITHER ONE OR TWO TERMS AND AS APPOINTED BY THE BOARD.
