“The organization has procedures which address conflicts of interest. One may present to the governing board or at a committee meeting. After the presentation, he or she must step out during the discussion of and vote on the transaction or arrangement concerning the conflict of interest. If the chairman feels it is appropriate, he or she may appoint a person or committee to investigate alternatives to the proposed transaction or arrangement. After exercising due diligence, the governing board or committee will determine if the organization can obtain, with reasonable efforts, a more advantageous transaction or arrangement from a person or entity where no conflict of interest would arise. If a transaction without conflict of interest cannot be found, the governing board or committee will determine by 75% majority vote of the disinterested directors whether the transaction or arrangement is in the organization's best interest, for its own benefit, and fair and reasonable. The vote will determine if entering the transaction or arrangement will violate the conflicts of interest policy. If the governing board or committee has reasonable cause to believe the interested party has failed to disclose actual or possible conflicts of interest, it will inform the interested party of the basis for such belief and afford the individual an opportunity to explain the alleged failure to disclose. If after hearing the response and completing additional investigations, as needed with circumstances, the governing board or committee will determine if the interested party has failed to disclose an actual conflict of interest. Then, appropriate disciplinary and corrective action will be taken.”

“Bad debt expense -2,343,302 patient accounts receivable are reduced to an estimated net realizable amount through the allowances for bad debts. Meac does not require collateral or security for receivables arising from services provided to patients. Meac uses the aging of patient accounts receivable to establish the allowance for bad debts. In evaluating the collectability of accounts receivable, meac analyzes its past history and identifies trends for each of its major payer sources of revenue to estimate the appropriate allowance for doubtful accounts and provision for bad debts.”
