Governance Explanations

FORM 990, PART VI, LINE 7A

Description of classes of persons and the nature of their rights the sole member of the filing organization is chc. The board of directors of the filing organization are appointed by the sole member, chc, who has the right to elect, appoint or remove any member of the board of directors of the filing organization. On march 1, 2019, substantially all of the assets of jellico community hospital, including the hospital license, were sold. All of the hospital operations, including the operations of jellico healthcare associates, llc and careplus rural health clinic llc, were included in the sale. The organization's sole member approved articles of dissolution for jellico community hospital on april 20, 2021 and they were subsequently filed with the division of business services of the tennessee department of state on april 27, 2021. The organization's remaining cash in bank, as reflected on part x of this form 990, was distributed on october 29, 2021. The organization will file a final return for the short period ended october 29, 2021.

FORM 990, PART VI, LINE 7B

Descr classes of persons, decs requiring appr & type of voting rights chc, as the sole member of the filing org, has certain reserved powers as set forth in the bylaws of the filing organization. These reserved powers include the following: a) to appoint and remove executives and all officers and administrators of the filing organization; b) to adopt, amend, restate, repeal the articles of incorporation or bylaws of the filing organization and medical staff bylaws; c) to set limits and terms for the borrowing of funds; d) to approve or disapprove the annual operating and capital budgets of the filing organizations; e) to direct the placement of funds and capital of the filing organization; f) to establish general guiding policies and approve or disapprove major building programs and purchases or sales above the established amount;and g) to establish a process for addressing patient grievances.

Process used by management &/or governing body to review 990 the filing organization's current year form 990 was reviewed by the corporate cfo following the preparation and review of the return by the organization's paid preparer. An electronic copy of the final form 990 is emailed to each board member prior to its filing with the irs.

Description of process to monitor transactions for conflicts of interest the conflict of interest policy of the filing organization applies to members of its board of directors and its principal officers (to be known as interested persons). In connection with any actual or possible conflict of interests, any member of the board of directors of the filing organization or any principal officer of the filing organization (i.e. Interested persons) must disclose the existence of any financial interest with the filing organization and must be given the opportunity to disclose all material facts concerning the financial interest/arrangement to the board of directors of the filing organization or to any members of the committee with board delegated powers that is considering the proposed transaction or arrangement. Subsequent to any disclosure of any financial interest/arrangement and all material facts, and after any discussion with the relevant board member or principal officer, the remaining members of the board of directors or committee with board delegated powers shall discuss, analyze, and vote upon the potential financial interest/arrangement to determine if a conflict of interest exists. According to the filing organization's conflict of interest policy, an interested person may make a presentation to the board of directors (or committee with board delegated powers), but after such presentation, shall leave the meeting during the discussion of, and vote on, the transaction or arrangement that results in a conflict of interest. Each interested person, as defined under the filing organization's conflict of interest policy, shall annually sign a statement which affirms that such person has received a copy of the conflict of interest policy, has read and understands the policy, has agreed to comply with the policy, and understands that the filing organization is a charitable organization that must primarily engage in activities which accomplish one or more of its exempt purposes. The filing organization's conflict of interest policy also requires that periodic reviews shall be conducted to ensure that the filing organization operates in a manner consistent with its charitable purposes.

Form 990, Part VI, Line 15A & 15B

Process for determining compensation the organization executives are employed by the parent organization, chc, and therefore follow the compensation policy of chc as adopted by jellico community hospital, inc. Chc engaged sullivan cotter to conduct a competitive market analysis of the compensation of chc's top management officials, officers, directors and key employees. Sullivan cotter gathered data related to job descriptions, scope of responsibilities, and current incumbents' compensation. Sullivan cotter recommended appropriate comparison data and utilized survey data from four major executive compensation recommendations that meet chc's compensation philosophy. Sullivan cotter's recommendations were presented to the chc compensation committee of the board for review and approval. Chc also conducts periodic reviews of compensation to determine whether compensation arrangements and benefits are reasonable, based on competent survey information, and the result of arm's length bargaining. The process is performed each year prior to the annual employee evaluation process which ends on july 1st of each year.
