Governance Explanations

Form 990, Part VI

Section a: governing body and management 1a - the governing board (board): this board shall act with the authority specified in tn code annotated 12- 26-103. The membership of the board shall be broadly based and equitably distributed between providers and consumers of human resource services and/or established by public law. The board shall consist of twelve (12)members and shall be distributed as follows: a. The county mayor or his/her designee shall be the provider member from each of the three(3) counties comprising the delta tennessee development district. One(1) mayor from each of the three(3) represented counties or his/her designee member b. One member from each of the three(3) represented counties of the delta human resource agency shall be consumer members. All consumer representatives shall represent low-income individuals and families in their respetive counties. A representative shall be selected by ballot from consumers of services within their county and recommended to the county mayor for appointment. The governing board is made up of tweleve (12) memebers mentioned above which governs the delta human resource agency. 8. Minutes are kept of each meeting and approved by the entire body at the next bi-monthly meeting. These minutes are kept as permanent record for a period of five(5) years. 9. 12. Conflicts of interest policy for board members of delta human resource agency 1.it shall be inappropriate for a board member to have a direct interest in any contract the agency has entered into for goods or services as a result of a big process or nay other business transaction with the board. 2. A board member shall disclose any of the following interst: a. Any direct interst in any contract or other business transaction with the agency b. Any indirect interst created by a relative who has (to the extent the board member is aware) any contract or business transaction with the agency 3. "direct interst" means any contract to provide goods or services to the agency as a result of a bid process or any other business trabnsaction with: a. The board members b. A relative of the board member; or c. A business in which the board memebr or the board member's relative is: i. The sole proprietor ii. A partner; or iii. The person having the coltrolling ownership or control of the largest number of outstanding shares owned by any single individual or corporation 4."indirect interest" means any contract in which the board member is interested but not directly so, but includes contracts where the board member is directly interested but is the sole supplier of goods or services 5."relative" includes spouse, parents, siblings, or children 6. In the event a member of the board has an indirect interest in a matter to be voted upon, a board member may abstain for cause by announcing such to the chairman. Any board member who abstains from voting for cause of any issue coming to a vote before the board shall not be counted for the purpose of determing a majority vote. This provision shall not be construed to prohibit any boardmember from voting on the higher education funding recommendations, or amendments thereto, unless the vote is on a specific amendment to the funding recommendation in which such person has a direct interst. 7. The basic underlying principle in conflict of interest is that board members should disclose any activity, investment, or interst that might reflect unfavorably upon the board, using the disclosure form. 8.the conflict of interst form must be filed within thirty(30) days after appointment as a board member and annually at the first meeting following july 1 of each year. 9.a board member shall amend his/her disclosure because of termination or acquistion of interest of which disclosure is required.
