Governance Explanations

Form 990, Part VI, Section A, Line 6

The organization consists seven types of members.

Form 990, Part VI, Section A, Line 7A

The organization's active and retired members have the ability to vote to elect members of the board.

Form 990, Part VI, Section A, Line 7B

The organization's active and retired members are eligible to vote on policy statements during the house of delegates.

Form 990, Part VI, Section B, Line 11B

Copies of the completed 990 are provided to all members of the association's board of directors before filing, either in person or via mail, either electronic or printed.

Form 990, Part VI, Section B, Line 12C

All members of the board of directors receive training on the association's policy during the annual board of directors orientation and training session. All members of the board of directors are required to sign a copy of the policy. All board members are given the opportunity to declare any conflicts at that time. The board makes a decision on resolution or handling of any potential conflicts at that time. Board members are instructed as part of the orientation process to present any newly identified potential conflicts to the board in writing at such time as they might occur. These potential conflicts will then be reviewed and considered by the board of directors at its next scheduled meeting.

Form 990, Part VI, Section B, Line 15A

The committee appointed by the association president to review and evaluate the performance for the chief executive officer is charged with the responsibility of making a recommendation to the full board of directors regarding the compensation for the association chief executive officer. The recommendation and agreement is memorialized in the minutes of the board of directors and, also, in the form of a written employment agreement. The committee is provided information regarding compensation of chief executives from the results of a survey of the other state pharmacy associations in the united states of america.

Additional Explanations

Form 990, Part XII, Line 2

The organization's financial statements are undergoing a revew by an independent accountant, however, the review is not final at the date of this 990 filing.

FORM 990, PART XI, LINE 8:

The 2023 financial statement review was not complete prior to the 2023 form 990 filing. An adjustment was made after the 990 had been filed to increase other assets and decrease expenses.

Financial Statement Notes

PART X, LINE 2:

Management performs an evaluation of all income tax positions taken or expected to be taken in the course of preparing tpa's income tax returns to determine whether the income tax positions meet a "more likely than not" standard of being sustained under examination by the applicable taxing authorities. Management has performed its evaluation of all income tax positions taken on all open income tax returns and has determined that there were no positions taken that do not meet the "more likely than not" standard. Accordingly, there are no provisions for income taxes, penalties or interest receivable or payable relating to uncertain income tax positions in the accompanying financial statements.

IRS990ScheduleD/SupplementalInformationDetail/ExplanationTxt0MANAGEMENT PERFORMS AN EVALUATION OF ALL INCOME TAX POSITIONS TAKEN OR EXPECTED TO BE TAKEN IN THE COURSE OF PREPARING TPA'S INCOME TAX RETURNS TO DETERMINE WHETHER THE INCOME TAX POSITIONS MEET A "MORE LIKELY THAN NOT" STANDARD OF BEING SUSTAINED UNDER EXAMINATION BY THE APPLICABLE TAXING AUTHORITIES.
