“A reminder of the conflict of interest policy is read at the start of each board meeting (4 to 5 times per year) to stress that all members should act in the best interests of the nonprofit and avoid any any real or perceived conflict of interest. Any tga board member or officer who has direct or indirect interest in, or relationship with, any individual or organization which proposes to enter into any transaction with tga shall give notice of such to the president of the tga executive committee. The board member or officer should then recuse him/herself from discussing, voting on the particular issue, attempting to exert any influence or otherwise affecting the board's decision to participate or not participate in the issue before during or after the meeting. If a potential conflict arises during the course of a meeting and it is not practical for the director or officer to give notice to the president of the executive committee, the member should disclose the potential conflict to the board as soon as practical thereafter and the board shall then decide what action is appropriate.”

“Compensation for the executive director is determined by the executive committee and communicated by the current president. Compensation for other staff is determined by executive committee, with input by the executive director. Any change in compensation goes into effect on july 1. Officers shall not receive any compensation for their services as officers.”
