“Aacpdm is in contract with executive director, inc., an association management company.”

“Membership to the academy is open to individuals who have a significant interest in cerebral palsy, developmental disorder and/or other childhood-onset disabilities.”

“All officers shall be elected at the business session of the membership at the annual meeting by a majority vote of the fellows of the academy, and emeritus members present and voting.”

“All fellows and emeritus members have the right to vote on all matters to be voted upon.”

“Upon completion of the prepared form 990, it is distributed to the executive committee for review and approval. The original form is signed by a selected officer and filed with the irs.”

“Each member must disclose all potentially conflicting interests that he or she identifies during service in an aacpdm leadership position or as a member of an aacpdm committee or task force. Members must disclose those activities or relationships that are pertinent to the subject matter of the aacpdm activity in which they are involved. The members of the board, and aacpdm committees and task forces, along with the staff liaison to each committee or task force and the senior management employees of the academy, meet, discuss, and address any conflict as needed at each group's initial meeting after the annual meeting. Each member of the group shall read and sign the covenant to disclose and it will be retained for a minimum of one year. The covenant to disclose requires the signee to disclose any new potentially conflicting activities that may arise at the next meeting of the group. A failure to comply with this disclosure policy shall be considered cause for replacement or removal from office or appointment.”

“Aacpdm is managed by executive director, inc., a for-profit management company. Aacpdm has no official employees, because all staff assigned to aacpdm are employees of the management company. Aacpdm also does not compensate its officers or directors. Aacpdm also does not have anybody who fits the definition of a key employee. Aacpdm contracts with executive director, inc. To provide office facilities, management, record keeping, accounting, storage other significant services, plus related overhead costs.”

“Aacpdm makes its governing documents, conflict of interest policy, and form 990 available for public inspection upon request. All such requests should be made to the aacpdm office. The bylaws are also made available on aacpdm's website.”

“The executive committee assumes responsibility for the selection of the independent auditing firm and oversight of the audit review.”
