“Board members, officers, and employees are required to adhere to rules and policies regarding conflicts of interest. Covenant Health makes available a board-approved Code of Conduct to all employees. The Code covers among other subjects, conflicts of interest, and requires disclosure and resolution of employee conflicts of interest. Additionally, officers, employed physicians, and highly compensated employees are required to complete and sign an annual conflict of interest disclosure statement. Board members' conflicts of interests are addressed in the corporate bylaws, and board members are required to complete and sign a conflict of interest questionnaire on an annual basis. The Integrity-Compliance Office maintains records that contain conflict of interest information obtained from board members, officers, and employees. These records are available to be queried prior to engaging in business transactions. The Chief Compliance Officer reviews conflict of interest data. Based on this information, the officer determines what conflicts of interest exist at that point in time. Between times when surveys are collected, board members are expected to disclose any new conflicts that have arisen that affect pending board decisions. Officers and other employees are expected to report conflicts to the Chief Compliance Officer as they arise. Depending on the nature of the conflict and the circumstances surrounding the conflict and transaction, the Chief Compliance Officer, senior leadership, or the board of directors may review the conflict of interest. When appropriate, these parties may also consult legal counsel. Restrictions imposed on persons with a conflict of interest are determined on a case by case basis. For Covenant Health employees, the Chief Compliance Officer in conjunction with the Covenant Health Executive Leadership Team determines how to appropriately manage the conflict. In any conflict involving a board member, such member is expected to recuse himself or herself from voting on matters related to the conflict.”

Salary ranges are based upon the recommendations of the Consultant made after comparison with similar jobs in similar size health systems across the nation. Bonuses are recommended by the CEO and reviewed with the Committee conditioned upon receipt of a written opinion from the Consultant that total compensation for the executive is reasonable and consistent with fair market value. Base salary for the CAO is initially targeted at the 25th percentile and may vary according to market conditions, performance, tenure, experience, special skills or qualifications, recruitment and retention challenges, and other relevant factors. Annual bonuses are designed to award 0-35% of base salary based upon system performance and accomplishment of certain targets established by the CEO. Base salaries and annual bonus opportunities for other officers and key employees are based on targets established by historical compensation consultant data and the Covenant Health Compensation department. Salary ranges are based upon comparison with similar jobs in similar size health systems across the nation. Base salaries and bonuses are approved by Executive Leadership predicated upon performance, and are reasonable and consistent with fair market value. Base salaries are initially targeted at midpoint and may vary according to market conditions, performance, tenure, experience, special skills or qualifications, recruitment and retention challenges, and other relevant factors. Annual bonuses are designed to award 0-20% of base salary based upon system performance and accomplishment of certain targets established by Executive Leadership.”

“Since the opening of Women's Healthcare of Morristown in 2018, women in all stages of life have received a wide range of care, including specialties such as gynecology, pregnancy care, hormonal and menopause management, and gynecological surgery. The Women's Center at Morristown-Hamblen partners with the Hamblen County Foundation for Educational Excellence to provide toolkits that include community resources and parenting guides for each new mother at the hospital. Labor and delivery services include "Panda Warmer" technology for newborns. The device's design provides infants with a safe and warm space while allowing the nursing staff to assess and evaluate baby's health just after birth. This helps the baby gently acclimate while the all-in-one system provides the ability to perform a resuscitation, gentle ventilation, and pulse oximetry. Morristown-Hamblen is designated by Blue Cross Blue Shield as a Blue Distinction Center+ in maternity services. The designation recognizes high-quality, safe, cost-effective care and treatment expertise that can result in healthier outcomes. MORRISTOWN HAMBLEN WEST To meet the growing healthcare needs of Morristown and the surrounding area, in June 2023 Morristown-Hamblen Healthcare System opened a 50,000-square-foot outpatient facility, Morristown-Hamblen West. The facility includes a free-standing emergency department, primary care, diagnostic imaging, an American College of Radiology Breast Imaging Center of Excellence and physician offices. As an expansion of the only hospital in the area, the additional Morristown-Hamblen location reduces the need for residents to travel long distances for care and decreases the wait time at the main hospital, providing faster care to more members of the community. In 2024, Morristown-Hamblen West's Emergency Department implemented a Call-Ahead program to help connect with patients prior to their arrival and registration at the ED. PARTNERING WITH THE COMMUNITY FOR BETTER HEALTH The hospital continues to be a strong partner with Morristown Landing, a multi-purpose recreation and events center that provides wellness, sports, and activity programs, along with space for meetings and community events. Covenant Health is the exclusive health and wellness partner for Morristown Landing, which the City of Morristown opened in 2023. Since the center opened, Morristown-Hamblen Healthcare System has provided posters and health education materials; presented programs on heart health, breast cancer and other health topics, and hosted quarterly health fairs. Covenant Health provides an on-staff athletic trainer at Morristown Landing, and athletic trainers from the health system's sports medicine program provide injury prevention expertise during tournaments and other sporting events. In mid-2024, Covenant Therapy Center-Morristown opened at Morristown Landing, providing physical therapy and specialty services for patients recovering from surgery, or injury, as well as helping people with acute or chronic pain issues. Morristown-Hamblen Healthcare System annually invites community participation in the Jingle Run for Hope. Proceeds from the annual December 5K event benefit the Patient Assistance Fund at the hospital's Morristown Regional Cancer Center, providing cancer patients and their families with financial assistance when they need it most.”

“Excerpt from the consolidated audited financial statements of Covenant Health (Covenant), parent company to Morristown-Hamblen Hospital Association: Covenant and certain of its subsidiaries or controlled entities are exempt from income taxes pursuant to Section 501(c)(3) of the Internal Revenue Code. Accordingly, no provision for income taxes on qualifying activities has been made for these entities in the accompanying consolidated financial statements. However, certain entities and operations are subject to income taxes. Covenant had no unrecognized tax benefits at December 31, 2024 and 2023. As such, no interest or penalties were recognized in the consolidated financial statements related to unrecognized tax benefits. At December 31, 2024 and 2023, tax returns for 2021 through 2024 are subject to examination by the Internal Revenue Service. | IRS990/Desc | 0 | Founded in 1895, Morristown-Hamblen Healthcare System ("Morristown-Hamblen") is a 167-bed facility that has provided more than 100 years of care to its community. The hospital serves an eight-county region in the Lakeway Area of East Tennessee. SERVICEMorristown-Hamblen's key areas of service include: the Heart, Lung, and Vascular Center; Women's Center; Breast Center; Morristown Regional Cancer Center; Outpatient Surgery Center, Emergency Department and Critical Care Unit. Morristown-Hamblen received its third consecutive "A" Hospital Safety Score from The Leapfrog Group in Fall 2024. In 2024, Morristown-Hamblen also received four Zero Harm Awards for patient safety from the Tennessee Hospital Association. The awards recognize outstanding patient safety achievements at hospitals across Tennessee. In 2024, Morristown-Hamblen Healthcare System introduced a robotic-assisted surgical platform using state-of-the-art technology for general, urologic and gynecological surgeries. Robotic-assisted surgeries often provide a better patient experience with quicker recovery times, less pain, smaller incisions and overall better outcomes. In 2024 the hospital saw 134,649 patients. Of these, 127,114 were outpatients and 7,535 were inpatients with an average length-of-stay of 4.61 days. PUTTING PATIENTS FIRSTThe hospital's Morristown Regional Cancer Center offers comprehensive cancer care that includes medical oncology, chemotherapy, and radiation oncology, among other services. The radiation oncology department includes a highly specialized team of radiation therapists, a radiation oncologist, medical physicists and registered nurses. The program is the only provider of radiation therapy within a 45-mile radius of Morristown. The cancer center has a dedicated high-speed CT scanner for treatment simulation and planning, an advanced linear accelerator, and other state-of-the-art technology. The program offers treatments such as external beam radiation therapy, intensity-modulated radiation therapy, high-dose-rate brachytherapy and low-dose CT scans for early detection of lung cancer. Morristown-Hamblen's Heart, Lung, and Vascular Center offers a complete continuum of care including prevention, diagnostic, interventional and rehabilitative services for both inpatients and outpatients. Tests available include EKGs, Holter monitors, echocardiograms and stress testing. Diagnostic and interventional catheterizations are performed using advanced technologies in angioplasty, drug-eluting stents, intra-aortic balloon pumps and closure devices. Morristown-Hamblen is certified under The Joint Commission's Gold Seal of Approval and holds Advanced Primary Stroke Center accreditation for meeting nationally recommended standards for stroke care. The hospital is a member of Covenant Health's stroke hospital network, which links Covenant Health's member hospitals in providing our region with access to rapid diagnosis and treatment of stroke.
