Governance Explanations

Form 990, Part VI, Section A, Line 6

Classes of membership no member shall at any one time be a member of more than one junior league. The classes of membership in the jlm are as follows: a. Provisional member (provisional year) women who have reached the age of 23 by may 31 in the fiscal year in which they are proposed and who comply with the requirements of ajli shall be admitted to provisional membership in the jlm. A provisional is one who complies with the requirements for admission to active membership; she is not eligible to vote or hold office. Each provisional member is required to complete the provisional training course. B. Active member (years 1 through 5) an active member is one who has completed the requirements for provisional membership and who has been admitted to active membership by demonstrating volunteer service to her community and the jlm. C. Active member (years 6 through 8) an active member years 6-8 is one who is in good standing; under the age of 40 years; not eligible to be a sustainer; and who has completed a minimum of five (5) years of placement (excluding the provisional year) in any junior league. D. Active member 9+ an active member 9+ is one who is in good standing; under the age of 40 years; not eligible to be a sustainer; and who has completed a minimum of eight (8) years of placement (excluding the provisional year) in any junior league. Once an active member reaches the age of 40 and is eligible to be a sustainer, she may extend her active membership by electing to remain active. Active 9+ members retain all the privileges of active members, including eligibility to be nominated. Any active member who is an officer or board member pursuant to the bylaws is considered an active member for all purposes until the completion of her term in office. E. Sustainers sustainers are those who have reached the age of 40 by may 31 and have completed five (5) years of placement (exclusive of the provisional year and any year spent on a leave of absence). Sustainers have all the privileges of active membership except they may not hold office or vote; however, sustainers on the board or councils have the right to vote on questions that come before the board or councils, respectively. See also jlm policies (membership policies section) for sustainer membership requirements. F. Restrictive status if a member has not completed her membership requirements by the end of the fiscal year, may 31, the board will place her on restrictive status for one fiscal year, june 1 to may 31. During her year on restrictive status, a member will be required to fulfill all of her membership requirements, but will relinquish the privileges of a member in good standing. Any member who does not fulfill all membership requirements during a year on restrictive status will be removed from the jlm.

Form 990, Part VI, Section A, Line 7A

Section 1 - nominating committee nominating committee members are selected as follows: nominating director: the nominating director is slated and elected in accordance with section 2 below. Nominating committee - active members: the current nominating committee presents a ballot of nominees from equally distributed classes of membership at a general membership meeting. Voting shall be conducted in accordance with the policies of the jlm. Three or more members from each group shall be elected by a majority of the votes cast to serve for a one-year term. Past president: the past-president role is filled by the immediate past president. If the immediate past president is unable to serve on the nominating committee, then the president shall appoint a replacement and consider past presidents from the last 5 years. Nominating committee - sustainer representative: the current sustainer council will select a sustainer representative to serve on the nominating committee. Past sustainer manager: the past sustainer manager is filled by the immediate past sustainer manager. If the immediate past sustainer manager is unable to serve on the nominating committee, then the sustainer manager shall appoint a replacement and consider past sustainer managers from the last 5 years. Section 2 - slated positions a slated position is either determined by the nominating committee or appointed by the president with input from others. By the february general membership meeting the current nominating committee presents a slate of candidates for the board, senior management council and select council and committee positions, provided each voting member has been notified that the slate will be presented at least one (1) week in advance of the date of the meeting. Ballots are distributed in person or electronically. Voting shall be conducted in accordance with the policies of the junior league of memphis. The slated positions are elected by a majority of the eligible active voting members. Those elected will assume their duties on june 1. Section 3 - vacancies a. Slated positions a vacancy in a slated position, with the exception of the president, will be filled in one of the following ways: 1. Nominating committee with the approval of the board will fill a vacancy in a slated position. 2. If the nominating committee is not in session, the president will appoint someone in conjunction with the appropriate council manager and nominating director. Persons so appointed will serve until the expiration of the original term of office. B. President a vacancy in the office of president will be filled in one of the following ways: 1. In the year of the president-elect's term, the president-elect will move into the position of president for the remainder of the existing president's term and remain in office until the expiration of the president-elect's originally slated term. Exceptions may be made with the approval of the executive committee and nominating director. 2. In a year without a president-elect, the nominating director must convene a special session of the nominating committee. Section 4 - independent nominations with the consent of the nominee, an independent nomination for a slated position or for the nominating committee must be made in writing and signed by ten active members in good standing. Such nominations must be presented to the secretary of the jlm within one (1) week following the announcement of the candidates in order to be included on the ballot distributed to the membership.

Form 990, Part VI, Section B, Line 11B

The treasurer for the applicable year has the primary responsibility for the review process and shares the draft with key stakeholders, including the president, president-elect, executive vice president, current treasurer, director of development and operations,and accounting manager. The treasurer sets up a meeting to summarize her findings and discuss any open questions. The treasurer compiles follow-up items that need auditor's input and works to clarify on those items. The treasurer summarizes resolutions and shares with key stakeholders ensuring all items are closed out before signing form 990.

All leadership is trained on the policy at annual training sessions. All leaders and committee members are required to fill out a form each year stating affiliations. An explanation of the policy is given at this time to ensure members follow policy. Conflict of interest forms are reviewed and maintained by the league attorney.

Form 990, Part VI, Section B, Line 15

The personnel committee is responsible for handling issues affecting jlm staff and reviewing performance evaluation and merit increase recommendations. The personnel committee formulates and revises policies and practices which govern the conditions under which employees of the jlm are employed and under which they work. Recommendations of the personnel committee are subject to board approval. The personnel committee is chaired by the president and is composed of the secretary or treasurer, and additional appointees at the discretion of the chair. When there is a new hire the committee reviews the job description and sets a salary commensurate with comparable positions in the memphis market for non-profits. Salary increases are based on performance reviews, market level comparisons and budget. Decisions on salary increases are made annually by the personnel committee. Other compensation, such as vacation time, paid holidays, and healthcare is documented in the employee manual and is reviewed on a regular basis by the personnel committee.
