There shall be an Executive Committee of the Board of Directors composed of the Chairman, Immediate Past Chairman, the Chairman elect, the Vice Chairman, and the President. The Executive Committee shall have charge of the general business and financial affairs of the Association when the Board of Directors is not in session. The Executive Committee may meet upon the call of the Chairman or President of the Association, and the attendance of three members of this committee shall constitute a quorum. This committee shall make a full report of all official actions taken.

The Tennessee Bankers Association has 2 classes of members: (1) Regular and (2) Associate. The members (or their delegates) may attend membership meetings and vote and participate in the business of such meetings. The Chairman, Chairman-elect, and Vice Chairman shall be elected by the regular members at the annual meeting. In addition, the bylaws may be amended and voted on by the delegates at the annual meeting.

Form 990, Part VI, Line 7A Members or stockholders electing members of governing body

Members have the right to voice vote in election matters at the annual meeting. The Tennessee Bankers Association has 2 classes of members: (1) Regular and (2) Associate. The by-laws may be amended at any annual meeting or by a written ballot by a vote of two thirds of the delegates present or a majority of the voting power, whichever is less, notice of the proposed amendment having been first submitted to the secretary.

The Chairman, Chairman Elect, and Vice-Chairman shall be elected by the regular members at the annual meeting for a period of one year and shall serve until their successors are elected.

THE FORM 990 AND ALL RELATED SCHEDULES ARE REVIEWED BY THE CFO, PRESIDENT, AND EXECUTIVE COMMITTEE OF THE TENNESSEE BANKERS ASSOCIATION BOARD OF DIRECTORS PRIOR TO FILING IT WITH THE IRS. An electronic copy of the final Form 990 is provided to all members of the organization's governing body prior to filing with the IRS.

Form 990, Part VI, Line 12C Conflict of interest policy

The board of directors, officers, and key employees must review and sign a written copy of the conflict of interest policy on an annual basis. Senior management reviews for conflict disclosures and none have been disclosed, suspected, or discovered. Should there be the possibility of a conflict, the conflict may be resolved by having the director disclose to the chairman, and, if necessary the entire board, the possibility and nature of the conflict. After disclosure, the board member may participate in a discussion on the issue. However, the director should abstain in any vote on the matter. In order to assure compliance with the provisions of this policy, it is the duty of every director, officer, and employee to bring to the attention of the appropriate board member, senior officer, or supervisor, any violation or possible violation of this policy. It is the further duty of the person so notified to communicate the violation or potential violation to the president, or if the violation is by the president, to the chairman of the board, who shall institute an investigation of such violation or potential violation. A violation of this policy shall, at the discretion of the board, result in the suspension or termination of the director, officer, or employee involved.

The compensation of the President is reviewed by the compensation committee and voted on by the full board of directors. Salary surveys are utilized and sent to the compensation committee and full board for approval, and contemporaneous documentation is performed with regard to these transactions. The Association and the Company follows generally accepted accounting principles with respect to accounting for uncertainty in income taxes. Under the guidance, a tax position is recognized as a benefit only if it is "more likely than not" that the tax position would be sustained in a tax examination, with a tax examination being presumed to occur. The amount recognized is the largest amount of tax benefit that is greater than 50% likely of being realized on examination. For tax positions not meeting the "more likely than not" test, no tax benefit is recorded. The Association and the Company do not expect the total amount of unrecognized tax benefits to significantly change in the next 12 months. The Association and the Company recognize interest and/or penalties related to income tax matters in income tax expense. The Association and the Company did not have any amounts accrued for interest and penalties at April 30, 2018 and 2017.
