The President and CEO shall alsodevelop and enforce an appropriate management policy relating to conflictsof interest of employees. The General Counsel shall advise individualBoard members and/or the Board of Trustees regarding compliance with thispolicy. The Board of Trustees shall review compliance with this policy andcounsel with any Board member as the situation may require. The Board ofTrustees shall assure, to the extent possible, that the Cooperative is notdamaged or compromised because of the existence of a conflict of intereston the part of Board members or the General Counsel.”
