To champion our member businesses and promote regional economic development.

To advance the civic, commercial, industrial and professional welfare of chattanooga and vicinity; promote integrity and good faith, just and equitable principles in business and uniformity in commercial usages and practices; acquire, preserve and distribute civic, commercial and industrial information of value; prevent or adjust controversy; facilitate intelligent discussion of and concerted action upon matters of public concern; discover and correct abuses affecting the interests and rights of its members and the community; and provide such facilities and do such things as will promote these objectives.

Conflicts due to business relationships are documented on dislosure form. Each director is expected to self-report conflicts of interest that might affect topics coming up for vote, and to abstain from such votes. The chairman of the board of directors enforces the policy.

Form 990, Part VI, Section B, Line 15A

Annual performance reviews compare performance to requirements of job descriptions and agreed upon and documented goals established at the beginning of the appraisal period. For management other than the ceo, recommendations for salary increases are submitted by ceo after review against comparability data and then reviewed by cfo against comparability data and available compensation pool. For the ceo's salary, the cfo submits to the board's compensation committee historical salary data and performance bonus history as well as benchmark salary surveys that are pertinent. A study typically used for this purpose is done by the american chamber of commerce executives which gives benchmarks for chambers based on community size and revenue levels. The ceo meets with the compensation committee to discuss accomplishments and attainment of benchmarks that were set. After meeting with the ceo, the committee separately reviews all information to determine the salary to be awarded.

Financial Statement Notes

PART X, LINE 2:

The chamber follows statutory requirements for its income tax accounting and generally avoids risks associated with potentially problematic tax positions that may be challenged upon examination. Management believes any liability resulting from taxing authorities imposing additional income taxes from activities deemed to be unrelated to the chambers non-taxable status would not have a material effect on the chambers financial statements. With few exceptions, the chamber is no longer subject to tax examinations by tax authorities for years before 2012.
