The st. Louis mediation project is a free program helping tenants, homeowners, landlords, and lenders solve housing disputes in and out of court.

Governance Explanations

Form 990, Part VI, Section A, Line 7A

At each annual meeting, immediately after the election of the board of directors, the directors shall elect from their midst, the president, secretary, treasurer, and any other officers. Any director may nominate candidates or self-nominate to fill an officer position. All officers shall be elected by a majority vote of all directors eligible to vote for a term of one (1) year.

Conflict of interest policy purpose 1. This conflict of interest policy is implemented for the purpose of avoiding any conflict between the interests of the st. Louis mediation project (the "corporation") and any corporation board of directors ("board") member or officer's personal, professional or business interests. Obligations 2. Board members and officers have a duty to act in good faith toward the corporation and should avoid all conflicts of interest as well as the appearance of any conflicts of interest. A conflict of interest arises whenever a corporation board member or officer has a material financial or personal interest in a proposed corporation transaction. A financial interest may be direct or indirect, and includes substantial gifts or favors. Disclosure 3. All corporation board members and officers must disclose any interests that they or a family member have in other entities where it is forseeable that the corporation may enter into any business dealings with the entity. Board members and officers must disclose any actual or possible conflicts to the chairperson of the board as such situations may arise. When a board member or officer has an interest in a transaction being considered by the board, he or she must disclose that interest before the board takes action on the matter. The board member or officer shall not be present in the meeting while the matter is being considered. The minutes of the meeting will reflect that a conflict of interest disclosure was made and the affected board member or officer was absent from deliberations and voting. Compensation 4. This confliect of interest policy shall not be construed to preclude board members or officers from performing services for the benefit of the corporation, provided that such services are either uncompensated or compensated at a reasonable and customary rate, according to the nature of the services provided. However, a voting board member or officer who receives compensation from the corporation for his or her services may not vote on matters pertaining to that member's compensation.

Whistleblower protection policy general 1. This policy of the st. Louis mediation project (the "corporation"): (1) encourages employees and volunteers to report credible information on illegal acts or policy violations; (2) identifies where such information can be reported; and (3) specifies that the corporation will not retaliate against an employee or volunteer reporting in good faith. Reporting 2. The corporation has an open-door policy and encourages reports, complaints, or inquiries about illegal acts or violations of policies, including illegal or improper conduct by the corporation itself, by its leadership, or by others on its behalf. Appropriate subjects to raise under this policy include financial improprieties, accounting or audit matters, ethical violations, or other illegal or improper practices or acts. Other subjects on which the corporation has existing complaint mechanisms should be addressed under those mechanisms. This policy is not intended to provide a means of appeal from outcomes in those other mechanisms. Reports, complaints, or inquiries about illegal acts or policy violations should be directed to your team coordinator. If you are not comfortable speaking with your team coordinator, or you are not satisfied with your team coordinator's response, you are encouraged to speak with the executive director. If the matter concerns the executive director, you are not satisfied with the executive director's response, or if the corporation does not have an executive director, you should direct your report, complaint or inquiry to the president of the board of directors. No retaliation 3. No volunteer or employee who in good faith makes a complaint, inquiry or report shall suffer harassment, retaliation, or an adverse employment consequence by the corporation. An employee who retaliates against someone who has reported a violation in good faith is subject to discipline, up to and including termination of employment. This whistleblower protection policy is intended to encourage and enable employees and others to raise serious concerns within the organization prior to seeking resolution outside the organization. Acting in good faith 4. Anyone filing a complaint or report must be acting in good faith and have reasonable grounds for believing the information disclosed indicates a violation. Any allegations that prove to have been made maliciously or knowingly to be false will be viewed as a serious disciplinary offense. Confidentiality 5. Reports or violations or suspected violations may be submitted on a confidential basis by the complainant or may be submitted anonymously. Reports of violations or suspected violations will be kept confidential to the extent possible. Handling of reporting violations 6. All reports will be promptly investigated and appropriate corrective action will be taken if warranted by the investigation. Employees and volunteers must recognize that the corporation may be unable to fully evaluate a vague or general complaint, report or inquiry that is made anonymously.

BOARD MEMBERS AND OFFICERS HAVE A DUTY TO ACT IN GOOD FAITH TOWARD THE CORPORATION AND SHOULD AVOID ALL CONFLICTS OF INTEREST AS WELL AS THE APPEARANCE OF ANY CONFLICTS OF INTEREST. A CONFLICT OF INTEREST ARISES WHENEVER A CORPORATION BOARD MEMBER OR OFFICER HAS A MATERIAL FINANCIAL OR PERSONAL INTEREST IN A PROPOSED CORPORATION TRANSACTION.
